It presents the findings of an in-depth analysis of the board gender diversity of 632 companies headquartered in California (“California companies”) which are traded on the NYSE or Nasdaq stock exchanges.Importantly, this year's report includes nearly 200 additional companies, 146 of which have less than $300 million in market capitalization and were not included in the Russell 3000 index as of June 30, 2018 (referred to as “microcap companies” throughout this report). Companies this small are not typically included in board composition and governance analyses. However, these companies play an important role in the California economy, and they too are subject to the new law requiring female directors.Therefore, the inclusion of microcap companies provides a uniquely comprehensive view of board gender diversity in California.

Book excerpt: On September 30, 2018, California became the first U.S. state to set quotas for women directors on corporate boards. The passage of this law resulted in a significant decline in shareholder value for firms headquartered in California. The decline in shareholder value is directly related to the number of female directors that firms are required to add under these quotas. We argue that supply-side constraints contribute to the costs imposed by the mandate. The expected costs of the quotas are higher for firms that face a more limited director pool and for those with weak corporate governance. Earnings forecasts for California firms also decline after the passage of the law. The law is associated with a widening of credit default spreads for affected firms, suggesting that differences in risk-taking preferences between male and female directors do not explain the results.

It examines the implementation of specific policies that seek to promote women's presence on corporate boards in 15 democracies in Western and Central Eastern Europe, North America, and Australasia through the lens of the Gender Equality Policy in Practice Approach. The thirteen empirically rich country chapters by leading country experts and two separate comparative chapter answer core questions. How were policies adopted and implemented? Did they achieve any degree of success that would allow for real and lasting equality? What were the politics of the pursuit of corporate gender equality across the 15 countries? What worked and did not work and why? What are the lessons to be drawn from these experiences? The findings of the book show that policy implementation does matter, but that in this last bastion of male domination, policies have had more success in increasing women's numbers over challenging gender-biased norms that block women of all cultural and socio-economic backgrounds from gaining real power on boards. The path-breaking study shows that the reasons for this slow change are highly complex and case specific, in the details of each policy mix. While progress has been slow in coming, it has still been made even in these challenging times. Future policy success, the book concludes, is in the hands of men and women willing to come forward to overcome these well entrenched obstacles.

In this paper we propose four principles that an inclusive labor market will embody: access, fairness, protection and voice. While measuring inclusivity presents challenges, we discuss how data can be used to shed light on the extent of inclusivity and document cross-country trends and stylized facts. We also discuss the role of policy in achieving an inclusive labor market, focusing on the need to rebalance growth; improve risk sharing; and fight discrimination. Several messages emerge. First, some policies entail a trade-off between the different dimensions of inclusivity. Second, it is important to view policies as a bundle, taking into account substitution and complementarities. Third, some policies are win-win, in the sense that they both increase inclusivity and improve overall efficiency.
