The materials on partners' financial rights now include a short primer on financial accounting. The Teacher's Manual is almost six-fold expanded from previous versions. It contains approaches to organizing classes, synopses of all the cases, lecture outlines, proposed questions and answers, discussions of answers to all the problems, diagrams of the complex cases, and flow charts of complex statutory analysis in areas like partnership dissolution and winding up. Indeed, many lawyers are more likely to be working with unincorporated business entities than with corporations. This Fifth Edition of Unincorporated Business Entities has been re-organized on a comparative basis (rather than a form-centered basis) since that is how practitioners confront the topic from a business planning and transactional standpoint. One of the benefits of this approach is to remedy a long-standing problem in teaching about LLCs. The law surrounding this relatively new form of organization is still developing rapidly, particularly regarding the fiduciary duties of members and managers. The form-centered approach tended to mean that LLCs, despite now being the predominant form of business organization in the United States, were the last subject covered in the typical semester-long course, and therefore often got short shrift. Owing to peculiar local restrictions on corporations these associations have been more largely used and more highly developed in Massachusetts than elsewhere. To them the lawyers of other states are now turning for relief. These associations are organized under the terms of elaborate trust deeds and resemble closely the important features of corporations. The law on many of the most important questions raised by these instruments is still in the making. Some attempt at classification seems urgently needed if only as a basis for criticism and future development.
