A former Attorney-General once said, 'The Solicitor-General is next to the High Court and God.' And yet the role of government lawyers in Australia, and specifically the Solicitor-General as the most senior of government lawyers, is under-theorised and under-studied. The Role of the Solicitor-General: Negotiating Law, Politics and the Public Interest goes behind the scenes of government – drawing from interviews with over 45 government and judicial officials – to uncover the history, theory and practice of the Australian Solicitor-General. The analysis reveals a role that is of fundamental constitutional importance to ensuring both the legality and the integrity of government action, thus contributing to the achievement of rule-of-law ideals. The Solicitor-General also works to defend government action and prosecute government policies in the court, and thus performs an important role as messenger between the political and judicial branches of government. But the Solicitor-General's position, as both an internal integrity check on government and an external warrior for government, gives rise to competing pressures: between the law, politics and the public interest. The office of the Solicitor-General in Australia has evolved many characteristics across the almost two centuries of its history in an attempt to navigate these tensions. These pressures are not unique to the Australian context. The understanding of the Australian position provided by this book is informed by, and will inform, comparative analysis of the role of government lawyers across the world.

Book excerpt: The Treasury acts as both the finance ministry and economic ministry but it appears to neglect its role as finance ministry. Its own accounts are impenetrable and there are many instances of poor decision making by departments, which the Treasury could and should have prevented. While staff turnover fell in 2011-12, it is still very high. Furthermore, the Treasury remains committed to cutting its headcount by a third and there are still very few women at senior levels. The support provided to banks in the last crisis helped prevent the banking system from collapse. The Treasury has successfully withdrawn nearly all of the taxpayer guarantees to banks but the taxpayer still owns some £66 billion of shares in RBS and Lloyds, a sum which is yet to be recovered. The Treasury has not convinced that it understands either the risks it has taken on by indemnifying the Bank of England against losses on Quantitative Easing or the expected economic benefits. Some £375 billion has so far been injected into the economy as an 'experiment' but the Department could not explain what the effect has been on the whole economy or on different parts of society. The National Loans Guarantee Scheme achieved just 15 per cent of its intended take-up and has now been superseded by a more generous Bank of England scheme. The Treasury needs to be clear what it wants this Bank of England scheme to achieve, and how it intends to monitor it.

Book excerpt: The House of Lords Constitution Committee has today published a report which says that the Government should do more to inform Parliament when ministers propose to take action before Parliament has passed the legislation that would make that action legal. The Committee says that when ministers want to act in anticipation of legislation, known as "pre-empting Parliament", they should set out what they want to do, why and under what powers in a statement made to Parliament. The Committee also says the Government should publish a full list of instances where they pre-empted Parliament at the end of each parliamentary session. The Committee calls on the Government to consolidate the principles and practices governing pre-emption and restate them clearly in the Cabinet Manual. It stresses that pre-emption should not take place when it might threaten the principle of effective parliamentary scrutiny.

It is written by two authors who represent both the new world (Australia) and the old world (Germany). The authors present their research in the global business context, with legal and regulatory perspectives including some references from Africa, Asia, the Middle East and South America. After every “boom” and “bust”, legislators pass new disclosure legislation, often in a heated environment fuelled by politics and the media. Little regard is paid to existing regulation or the lessons learned from earlier regulation. The result is the continuing enactment of redundant and overlapping disclosure laws. Since financial markets are often described as markets for information, the failure to ensure disclosure is at the heart of financial services regulation. This book argues that the solution to the failure of disclosure is a brief, easily understood, principles-based, plain English safety-net amendment to statute law such as “you must keep the financial market fully informed”, a measure that would support effective mandatory continuous disclosure of information to financial markets. This book examines the reasons for disclosure regulation, and how the efficient operation of financial markets is dependent on disclosure. It examines the adequacy of common law and civil law concerning broker/client disclosure, and concludes that industry licensing in itself fails to keep the market informed. While recognizing the failures of securities commissions to achieve good disclosure in financial markets, it confirms the effectiveness of coregulation of disclosure by a commission with the support of the financial markets (such as the stock exchange). Coregulation builds on financial market self-regulation, and is best described in the words of one-time SEC Chairman William O. Douglas, who, in the 1930s, described it as a shotgun behind the door.
