Book excerpt: The origin of this work is to be found in the cyclostyled course on 'The optimal allocation of resources in the firm and in the Nation' taught by Mr Boiteux at the Centre d'Etudes des Programmes Economiques (C. E. P. E. ), Paris from 1957 to 1960. Of course, several successive later rewritings and a great many additions have profoundly altered the initial version: starting from a remarkably clear and concise exposition of eco nomic theory, we have ended with a book that is several hundred pages long. It is not at all certain that Mr Boiteux would recognise this intellec tual sponsorship. Nor is it certain that the gain in information justifies such an increase in size. However that may be, the initial plan has survived. Without Mr Boiteux this book would never have been undertaken: it is a pleasant duty for us respectfully to acknowledge our debt to him here. Microeconomic analysis, that is to say that analysis which results from the study of the behaviour and activities of individual decision-units, was for a long time the main concern of the neo-classicists. Quite recently the introduction of macroeconomic theory, dealing with aggregate quan tities, seemed to relegate it to second place. But this is not where it belongs: we tend to agree with Mr Raymond Barre that there are "two different scales of analysis that complement rather than contrast with one another".

Because of various activities and duties, my contribution to the general conception of this volume has only been formal, and all the credit for it is due to Ole Hagen. I should also emphasize that the responsibility for the year's delay in the publishing of this volume is entirely mine, for two reasons. First of all, I have been involved in many works in very different fields. Second, the English translation of my 1943 contribution to the concept of cardinal utility took some time. The points of view the reader will find in this volume are often different and sometimes contradictory, but this can only increase the interest of its reading. In any case, this is not the editors' part to side with or against. Thus contributions to this volume are presented as they have been submit ted to the editors. Book excerpt: Previous research on the institutional structure of franchising networks (Bri- ley et al. 1991; Lutz 1995; Shane 1998; Lafontaine and Shaw 1999, 2005; - fuso 2002; Penard et al. 2003a,b) does not explain the governance structure of the franchising firm as an institutional entity that consists of two interrelated parts: Residual decision rights and ownership rights. The latter includes not only residual income rights of franchised outlets but also residual income rights of franchisor-owned outlets. Previous studies primarily examines the incentive, signalling and screening effects of fees, royalties and other contractual pro- sions from the point of view of organizational economics (see Dnes 1996 for a review) without taking into account the interactions between residual decision and residual income rights as interrelated parts of the governance structure. This paper fills this gap in the literature. According to the property rights view, de- sion rights should be allocated according to the distribution of intangible kno- edge assets between the franchisor and franchisee and ownership rights should be assigned according to the residual decision rights. Since ownership rights are diluted in franchising networks, the dilution of residual income rights of fr- chised outlets is compensated by residual income rights of company-owned o- lets. Under a dual ownership structure, company-owned outlets compensate the disincentive effect of low royalties for the franchisor, and low royalties strengthen the investment incentives for the franchisee.

We offer them as a tribute to the many and multi-faceted contributions to the scientific enterprise for which Werner Leinfellner is so widely known. We believe such a festschrift to be fitting and long overdue. Because of the breadth of Werner's professional associations, it was difficult to select representatives from among his many spheres of influence.
