Download or read book M A written by Philip Martinius and published by Kluwer Law International B.V.. This book was released on 2005-01-01 with total page 584 pages. Available in PDF, EPUB and Kindle. Book excerpt: The essentials of mergers and acquisitions (M&A) practice can best be examined from a buyer's perspective. In a corporate transaction, it is the buyer who typically faces the more substantial risks. In many instances, legal problems exist of which the buyer must be aware before deciding to purchase the target company. The ongoing internationalization of the M&A market must also be taken into consideration. The integration of foreign concepts into local legal systems not only leads to a multitude of new questions, it also creates a challenge for any lawyer practicing in this area. Clients expect their professional advisors to handle legal problems likely to arise abroad and to communicate and cooperate efficiently with foreign counsel. The book features a collection of reports by experienced young practitioners from seventeen different jurisdictions, along with a general report for a working session organised by the Corporate Acquisitions and Joint Ventures and Tax Law Commissions of l'Association internationale des jeunes avocats (AIJA) for the AIJA Annual Congress in Lisbon in August 2002. Each national report follows the same structure as the general report, but from a local perspective. While the working session also covered tax issues (a whole other volume in itself!), this publication concentrates on such practical matters of legal risk as: powers of local authorities;determination of relevant market;conflict between antitrust authorities;time limits for negotiation and clearance;avoidance of multiple filings;standard notification clauses;protection of confidential information; andchallenge of competition authority decisions. A useful introduction on warranty and indemnity (W&I) insurance offers an insider's comprehensive outline of the latest developments in this field. The practical information in this book will be of great value to any lawyer dealing with M&A transactions, not only in the countries covered but in any country where M&A transactions occur, as these reports often contain valuable information and suggestions that hold true for other jurisdictions as well. Available in PDF, EPUB and Kindle. Book excerpt: Celebrated historian Richard Rhodes explores the Spanish Civil War through the stories of the reporters, writers, artists and doctorswho witnessed it The Spanish Civil War (1936-1939) engaged an extraordinary number of exceptional artists and writers: Pablo Picasso, Joan Miro, Martha Gellhorn, Ernest Hemingway, George Orwell, John Dos Passos, to name only a few. The idealism of the cause - defending democracy from fascism at a time when Europe was darkening toward another world war - and the brutality of the conflict drew from them some of their best work: Guernica, For Whom the Bell Tolls, Homage to Catalonia. Paralleling the outpouring of writing and art, the war spurred breakthroughs in military and medical technology. So many different countries participated directly or indirectly in the war that Time magazine called it the 'Little World War'; Spain served in those years as a proving ground for the devastating technologies of World War II, and for the entire 20th century.

Book Horizontal and Vertical

Download or read book Horizontal and Vertical written by Lori Tucker-Eccher and published by AuthorHouse. This book was released on 2017-07-22 with total page 114 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book presents an approach to business leadership development to help fill the pressing need for more effective leaders who can operate across cultures. Our HV model of global leadership development combines a horizontal approach (traditional competencies) with a vertical one (self-transformation). The models horizontal aspect is based on our study of 1880 global leaders of nine nationalities. Nine competencies are measured, and individual profiles are compared against this global data base. Feedback and coaching begins the development process by verifying results, achieving self -recognition and establishing motivation and potential for change. The vertical aspect is based on the work of Kegan and Lahey (2009) in which self-transformation can be attained by overcoming an immunity to change and engaging in behaviors measured by the horizontal assessment. Examples of behavior change maps are shown for all nine of the competencies.

Book A Primer on Corporate Governance

Download or read book A Primer on Corporate Governance written by Felix J. Lopez-Iturriaga and published by Business Expert Press. This book was released on 2014-09-08 with total page 101 pages. Available in PDF, EPUB and Kindle. Book excerpt: Spain has a civil law-based legal system, and court decisions are not a source of law but are of interpretative value. The privatization of large state-owned firms, liberalization, integration with the European Union, and the launch of the euro have all contributed to the transformation of Spain’s financial system into a modern market. This book covers the main features of the Spanish model of corporate governance and will help you understand the characteristics of a civil law and a bank-oriented financial system in which banks play an active role relative to markets. For example, the bank orientation within Spain is built so that the corporate governance system relies heavily on the internal mechanisms of governance. Spain also bypasses the standard procedures of controlling shareholders mitigating conflicts between management and minority shareholders; instead, Spain allows controlling shareholders to mitigate the conflict between controlling shareholders and minority shareholders. Each chapter provides an inside look at the functioning of both internal and external mechanisms of corporate control.

Download or read book Permanent Establishments written by Ekkehart Reimer and published by Kluwer Law International B.V.. This book was released on 2018-06-07 with total page 813 pages. Available in PDF, EPUB and Kindle. Book excerpt: Permanent Establishments (PEs) are a key facet of international taxation. They constitute the crucial threshold for the assignment of taxing rights to a jurisdiction in all cases of enterprises operating in more than one country. The issue of whether there is a PE, and how much profit should be allocated to it, is an increasingly important factor in tax planning, tax accounting, tax compliance, and related tax risk management. Groundbreaking developments have reshaped the face of the classical PE concept during the year 2017. Following action item no. 7 of the Anti-BEPS efforts of G20 and OECD, the OECD has presented the Multilateral Instrument (MLI) on Base Erosion and Profit Shifting in June 2017. Based on the MLI as well as earlier drafts, Article 5 of the OECD Model Tax Convention and the Official Commentary have been amended in November 2017. Similarly, Article 7 of the OECD Model Tax Convention on the allocation of income in PE situations is influenced by the October 2015 OECD BEPS proposals. This academically rigorous yet thoroughly practical work provides comprehensive guidance on a variety of complex PE issues. Its initial chapters analyse the latest OECD and EU developments in the context of Articles 5 and 7 of the OECD Model Tax Convention. 21 country chapters cover domestic PE issues as well as country-specific treaty developments from a practical perspective.
