Excerpt: ...be subject in all respects to the laws now in force relative to voluntary assignments: Provided, that the claims of laborers thus preferred shall not severally exceed the sum of fifty dollars. The 4th section of the act of 16th April, 1849, (Pamph. Laws, p. 664, ) enacts, that any condition in assignments of property made by debtors to trustees on account of inability at the time of the assignment to pay their debts, within the meaning of the act entitled "An act to prevent preferences in assignments," approved April seventeenth, one thousand eight hundred and forty-three, for the payment of the creditors only who shall execute a release, shall be taken as a preference in favor of such creditors and be void, and the assignment be held and construed to inure to the benefit of all the creditors in proportion to their respective demands: Provided, that no bond fide judgment or lien acquired against the property of any debtor, or any sale or transfer of the property of such debtor, unless the same shall have been obtained, acquired, or made with intent to evade the provisions of the said act, shall be avoided or defeated by the subsequent discovery that such debtor was insolvent at the time such judgment was obtained, lien acquired, or transfer made." The case of Summers' Appeal, 4 Harris, 169, decided in reference to this act of Assembly, on the 26th of May, 1851, was the following: --1. By the 4th section of the act of 16th April, 1849, judgments confessed to evade the act of 17th April, 1843, concerning preferences in assignments, followed by an assignment of real estate, are void as against other creditors, and are not entitled to preference out of the proceeds of sale of such real estate, but are entitled only to a pro rata...

After the work was begun, however, it seemed advisable to abandon Mr. George's text for the most part, and to prepare a substantially new treatise, using such portions of his work as should be found suitable. With the exception, therefore, of Chapters VIII and IX, the present book, both in arrangement and text, is new. A few passages and a number of citations and notes have been taken from Mr. George. Chapters VIII and IX are reproduced substantially as found in Mr. George's book, with the addition of later cases. The law on the subject being reasonably well worked out in the authorities, the aim of the present author has been to make a clear and definite statement of the leading principles, in a form serviceable alike to students and practitioners. Accordingly, a statement by a partner, of the amount due from the firm to a servant, is to be treated as a statement of the firm.3 A partner's admissions or representations, however, which are not made in the ordinary course of the business, although they may relate to partnership affairs, are not evidence against his copartners, unless they have actually authorized or ratified them. When that Treatise was first pub lished, viz., in 1860, the Law of Companies was being developed by legislative enactment and judicial decision out of the Law of Partnership and it appeared to the author desirable to trace that development, and to endeavour in one treatise to investigate the Law of Partnership and to determine the extent to which its prin ciples were applicable to Companies. But in the course of the last quarter of a century Company Law has been developed to such an extent as to justify, if not to require, separate treatment; and With a view to convenience and expense, advantage has been taken of the opportunity afforded by the demand for a Fifth Edition, to divide the former treatise into two parts, each of which shall be complete Without the other, viz., the Law of Partnership proper, and the Law of Companies, in so far as it has any connection with the former. This volume is devoted to the first of these parts, viz., the Law of Partnership proper. The volume relating to Com penies is in course of preparation and will be published shortly. In arrangement, the order of treatment previously adopted has been retained with the exceptions, that the causes of dissolution, the right to retire, and the right to expel, have been transferred to the Chapter on Dissolution in Book IV.
