Book excerpt: This study focuses on the role of the corporate board of directors and the relationship between the dynamics of board structure and the financial performance of listed South African companies. The research results found that the proportion of independent non-executive directors had a significant positive effect on firm performance as measured by earnings per share and enterprise value, but had no significant effect on Tobin's Q ratio. Board ownership had a significant negative correlation with firm performance as measured by earnings per share, enterprise value and Tobin's Q ratio. The number of directors serving on the corporate board had a significant positive impact on firm performance as measured by earnings per share, enterprise value and Tobin's Q ratio. The study suggests that greater independent non-executive director representation, lower board share-ownership and larger board sizes should be encouraged to enhance firm performance.

Book excerpt: South Africa, an emerging economy has evolved a relatively sophisticated code of corporate governance (CG). The latest iteration, King III, introduced in 2010 provides a laboratory for evaluation of the influence of a key element of CG, board independence (BI) on firms' financial performance (FP). Prior studies produced mixed and weak results regardless of developed or developing economy and are likely compromised by endogeneity. Invoking the essentially exogenous investment opportunity set (IOS), modelling of cross-sections of data bracketing 2010 yields evidence for a synergistic, positive effect of BI and the IOS on FP for one measure of board independence, strength of non-executive board directorship, post-King III introduction. In contrast to earlier conjecture and evidence, no indication is found for a direct let alone negative influence of the IOS on FP. Some implications are drawn for strengthening of the CG regime in South Africa and the importance of CG in capital market functioning, notably attraction of foreign investment to emerging economies such in the Asia-Pacific.

Yet 27 years after apartheid, those business interests remain largely entrenched. Why? Did the South African business community play a role in engineering this outcome – perhaps recognising the apartheid era was over, and jumping ship in time? Conversely, the mission of the ANC was widely perceived to be to shift wealth and power into the hands of the whole community. Yet despite ‘black empowerment’ measures, corporate ownership remains largely in white hands – and certainly in the hands of an elite few, even though no longer restricted to whites. This picture is replicated across the global south, where corporate ownership tends to be concentrated in the hands of an elite, rather than being more democratically spread. Why have alternative corporate forms not been pursued more vigorously, with ownership in the hands of customers, employees, and local communities? In the case of South Africa, where the majority of customers and employees are black, this could have delivered on the ANC’s mission to replace the apartheid era with a democratic one – in terms of wealth, incomes and power, as well as in terms of voting and civic rights. This edited volume explores all these questions and looks at ways to align corporate forms with economic and social goals. The chapters in this book were originally published as special issues of International Review of Applied Economics.

Book excerpt: This research is aimed at finding empirical evidence to support the relationship between Broad-based Black Economic Empowerment (BBBEE) compliance and the financial performance of South African companies on the JSE. An independent measure of the BEE score was obtained from the Empowerdex Top Empowerment Companies (TEC) ranking from 2004 to 2009. 14 sectors on the JSE were selected to ensure inclusion of all major industries in South Africa. A total of 209 companies were selected, and the multivariate exploratory technique of Cluster Analysis was used. The predictor variable of the company's BEE status was then compared to a number of financial performance indicators such as annual share price, price-tobook value ratio and the price-to-earnings ratio (i.e. the outcome variables). By standardising the variables of the BEE score and using Compound Annual Growth Rate (CAGR), the k-means Clustering method yielded four interpretable clusters with 15, 64, 95 and 35 companies respectively. The finding indicate that only in the case of the cluster of companies that increased it's BEE score, were all three profitability measures significantly different and, according to the means, in the direction of higher profitability. However, there were no significant differences in the results to support the proposition that low-BEE scores of companies had a negative impact on their profitability and their firm's value over time.

Book excerpt: This study examines the impact of Board Attributes and Ownership Structure on Voluntary Disclosure of listed financial service firms in Nigeria over the period 2006-2015. A sample of twenty-eight out of the fifty-seven financial service firms listed on the floor of the Nigerian Stock Exchange was studied. The study used data generated from the Annual Reports and Accounts of the sampled firms. The data was analyzed by means of descriptive statistics, pearson correlation and regression analysis. It reveals that board size and board independence have a negative insignificant association with the voluntary disclosure of the sample firms, while CEO duality shows a significant negative association with voluntary disclosure. However, managerial ownership shows an insignificant positive effect on voluntary disclosure. The control variables (Size and Age) show a significant positive relationship with voluntary disclosure. Based on the findings, the study recommends, among others, that Companies that do not separate the roles of chairman and of chief executive officer should do so. In addition, the directors on the board of financial service firms in Nigeria should be encouraged to have more shares in the firms they manage in order to be more efficient and discourage managerial self-interest.

Furthermore, the current financial crisis has highlighted issues of CG in a widest sense and the corporate governance codes and recommendations are being revisited, in order to facilitate transparency and accountability of the management processes within organisations. A range of studies has investigated the essential features of CG; most of the discussion on CG has been driven by concerns with the effectiveness of board of directors that is expected to represent the interests of the shareholders by controlling the opportunistic behaviour of managers and by providing resources to the firm. In Greece, CG is a topic of increasing interest, as a result of dysfunctional boards, executive misconduct and international pressures for a more shareholder-oriented model of governance. However, due to the fact that Greece is a small economy with the majority of companies being small to medium, the interest of corporate governance is highly concentrated to the listed companies of the Athens Stock Exchange (ATHEX). In this study, the focus is on the manufacturing companies of the ATHEX, with about half of the total listed companies being characterized as such.
