Book The Bank Merger Wave The Economic Causes and Social Consequences of Financial Consolidation

Download or read book The Bank Merger Wave The Economic Causes and Social Consequences of Financial Consolidation written by Gary Dymski and published by Routledge. This book was released on 2016-09-16 with total page 356 pages. Available in PDF, EPUB and Kindle. Book excerpt: This far-reaching study shows that operating efficiencies are not what are driving today's unrelenting bank merger mania. It suggests that bank mergers and consolidation may have effects that are contrary to consumer and non-financial business interests, such as lower rates of interest, increasing fees, and tighter credit constraints. Dymski recommends several new policies to apply to the evaluation of prospective mergers.

Book Mergers and Acquisitions M As in the Banking Sector

Download or read book Mergers and Acquisitions M As in the Banking Sector written by Matthias Schubert and published by GRIN Verlag. This book was released on 2002-04-22 with total page 18 pages. Available in PDF, EPUB and Kindle. Book excerpt: Seminar paper from the year 2002 in the subject Business economics - Investment and Finance, grade: 1,0 (A), Berlin School of Economics, course: International Corporate Finance, language: English, abstract: The last decade of the 20th century was a decade of enormous changes in the banking sector worldwide. If one compares the largest banks of the world in 1995 with those at the end of 2000 it is obvious to see that many changes have happened in recent years: In 1995 all top five banks were from Japan (total assets in million USD in brackets): Dai-Ichi Kangyo Bank (626,171), Sumitomo Bank (617,053), Sakura Bank (607,245), Sanwa Bank (600,111) and Fuji Bank (587,154. At the end of 2000 the top five banks ranked by total assets were: Sumitomo Mitsui Banking Corp., Japan (958,189), CitiGroup, USA (902,210), Deutsche Bank Group, Germany (882,577), HSBC Holdings, U.K. (673,814) and Bayerische HypoVereinsbank, Germany (672,720). These newly-formed banking groups arose from mergers and acquisitions (M&As) and therefore they are good examples for all the M&As that have taken place in the banking sector worldwide in recent years. In this scientific paper the M&A activity in the banking sector is being analysed on a global basis and, where appropriate, with a special focus on European activities. To do so, the following procedure has been chosen: After the presentation of typical patterns of consolidation the main causes of consolidation and risks arising from M&As will be examined. Afterwards the economical results of the M&A process will be analysed to give a conclusion and an estimation on future activities

Download or read book Is the Bank Merger Wave of the 1990s Efficient written by Charles W. Calomiris and published by A E I Press. This book was released on 1998 with total page 140 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book discusses banking, insurance, and securities regulation, as well as issues in consumer finance and electronic commerce. In a new era of deregulation, the US banking system is undergoing dramatic consolidation. The authors use detailed case studies to determine the motivation for bank mergers, assess the advertised gains in efficiency and services, and resolve inconsistencies between econometric studies and comparisons of performance in different US states and different countries. As merger activity intensifies, the volume explains both the acceleration of merger activity and the rationales for recent megamergers. The authors also explore the link between consolidation and global competitiveness and dissect client-based universal banking.

Book Bank Mergers Acquisitions

Download or read book Bank Mergers Acquisitions written by Yakov Amihud and published by Springer Science & Business Media. This book was released on 2013-04-17 with total page 249 pages. Available in PDF, EPUB and Kindle. Book excerpt: As the financial services industry becomes increasingly international, the more narrowly defined and historically protected national financial markets become less significant. Consequently, financial institutions must achieve a critical size in order to compete. Bank Mergers & Acquisitions analyses the major issues associated with the large wave of bank mergers and acquisitions in the 1990's. While the effects of these changes have been most pronounced in the commercial banking industry, they also have a profound impact on other financial institutions: insurance firms, investment banks, and institutional investors. Bank Mergers & Acquisitions is divided into three major sections: A general and theoretical background to the topic of bank mergers and acquisitions; the effect of bank mergers on efficiency and shareholders' wealth; and regulatory and legal issues associated with mergers of financial institutions. It brings together contributions from leading scholars and high-level practitioners in economics, finance and law.

Book Mergers and Productivity

Download or read book Mergers and Productivity written by Steven N. Kaplan and published by University of Chicago Press. This book was released on 2007-12-01 with total page 350 pages. Available in PDF, EPUB and Kindle. Book excerpt: Mergers and Productivity offers probing analyses of high-profile mergers in a variety of industries. Focusing on specific acquisitions, it illustrates the remarkable range of contingencies involved in any merger attempt. The authors clearly establish each merger's presumed objectives and the potential costs and benefits of the acquisition, and place it within the context of the broader industry. Striking conclusions that emerge from these case studies are that merger and acquisition activities were associated with technological or regulatory shocks, and that a merger's success or failure was dependent upon the acquirer's thorough understanding of the target, its corporate culture, and its workforce and wage structures prior to acquisition. Sifting through a wealth of carefully gathered evidence, these papers capture the richness, the complexity, and the economic intangibles inherent in contemporary merger activity in a way that large-scale studies of mergers cannot.

Book Intelligent M A

Download or read book Intelligent M A written by Scott Moeller and published by John Wiley & Sons. This book was released on 2014-05-16 with total page 420 pages. Available in PDF, EPUB and Kindle. Book excerpt: Almost 70% of mergers fail, yet deals are essential for growing world-class companies. Therefore they must use all the tools and techniques at their disposal to improve their chances of success. Applying the techniques advocated in this book can help managers beat the odds - and employees themselves - to have an impact on whether a deal will be successful both for the company and for themselves. This book looks at the process of a merger or acquisition and pinpoints the areas where business intelligence can raise the odds of success in each phase of the deal. Using techniques developed by governmental intelligence services and a wide range of recent case studies, quotations and anecdotes, the expert authors from the renowned Cass Business School show how to build success into any M&A situation. The first edition of Intelligent M&A was written in 2006 and published in 2007. This preceded the peak year (2007) of the last merger wave, including the excesses in a number of industries and deals (e.g., financial services with RBS’ dramatically failed acquisition of ABN AMRO as a key example), and the global economic downturn that led to a completely new way of operating for many industries and companies. Therefore, there is a need to update the book to incorporate not just more relevant and up-to-date case studies of deals but to show the ‘new’ way of operating in a post-Lehman environment. Chapters will be comprehensively re-written and populated with new and relevant case studies.

Book MERGER AND INTEGRATION OF COMMERCIAL BANKS INTERNATIONAL EXPERIENCE AND ITS IMPLICATIONS FOR CHINA

Download or read book MERGER AND INTEGRATION OF COMMERCIAL BANKS INTERNATIONAL EXPERIENCE AND ITS IMPLICATIONS FOR CHINA written by Xiaojian Ren and published by . This book was released on 2021 with total page 241 pages. Available in PDF, EPUB and Kindle. Book excerpt: Since the 1990s, the mergers and acquisitions (M&A) of commercial banks have been at a climax throughout the world, and the mode of M&A has been accepted by western countries, bringing new opportunities for the development of the banking industry. In a majority of the countries of the world, the banking industry is involved in a wave of economic M&A. Developed countries, such as the United States and those in Europe, have made significant gains through mergers and reorganizations of commercial banks, whetting the appetite of many developing countries' commercial banks to become involved in such activities. In the 21st century, through the development of the world economy and the bank and its special position in this economy, its development model has attracted significant attention. Banks will struggle to maintain their profits as the global economy slows and credit risks increase. China's interest rate liberalization is a major challenge that commercial banks are faced with, including the arduous task of smoothly adapting to the change. The banking industry contains countless bodies, and the business scope is homogenized. Moreover, fierce market competition constantly increases the management pressure in the banking industry. M&A activities have become the strategic choice of many banks. With the widening and deepening of the opening-up and competition degree of China's financial market, domestic banks are continuously penetrated by foreign capital and are facing great challenges, and the inherent desire of M&A is constantly presented. Compared with European and American commercial banks, the commercial banks in China are in a special situation: weak market competition, too much government intervention, more M&A aimed at preventing regional financial risks, and fewer M&A cases due to the requirements and motivations of commercial banks in the M&A activities. The growth mode of commercial banks includes an endogenous growth model of self-accumulation and a leapfrog growth mode of equity acquisition. Until now, western commercial banks have experienced five waves of M&A activity. The development and expansion of internationally active banks are usually inseparable from equity M&A. M&A activities have become important to international commercial banks seeking to realize leapfrog growth. After reforming, listing, and expanding its capital strength, China's commercial banking industry is actively attempting to realize leapfrog growth through equity M&A. These banks are also gradually transitioning from an endogenous growth mode relying on internal accumulation to a growth mode valuing both endogenous growth and leapfrog development through and external M&A activities. This paper summarizes the rules of the development and expansion of foreign commercial banks through strategic M&A activity by using a systematic analysis of the five waves of international commercial banks' M&A activity. This paper then puts forward the strategies of China's commercial banks as related to strategic M&A activities. Taking the acquisition of Shenzhen Development Bank (hereinafter referred to as SDB) by Ping An Insurance (Group) Company of China (hereinafter referred to as "Ping An Group" or "Ping An") as an example, this paper summarizes the background, motivation and process of the M&A of both parties, and focuses on the analysis of synergies after the M&A. Through analysis, this paper finds that all indicators of the two companies have obvious synergies, and Ping An Group, the leading party, has been significantly improved in terms of operation, finance, corporate culture and management after merger and reorganization. To study the efficiency of M&A, this paper takes M&A of Wing Lung Bank by China Merchants Bank's as a case, and draws a conclusion and summarizes the suggestions of Chinese banks to improve the efficiency of merger and acquisition through empirical analysis, case study and other methods. Based on Ping An Group's acquisition of SDB, this paper puts forward recommendations for the merger activity undertaken by China's commercial banks at the end of the paper. These recommendations consider future M&A trends in China's banking industry, the strategic choice related to future M&A activities, and the role of the government in mergers and reorganizations, particularly related to relevant policy formulations, regulatory coordination, the role that control plays, and so on. The objective of this paper is twofold. First, this paper analyzes the current competitive pattern of China's commercial banking industry and at the same time studies the development process and M&A history of the American and overseas banking industry to demonstrate the M&A opportunities in China's commercial banking industry. Second, this paper uses a case study to discuss the M&A strategy, synergistic effects, and M&A efficiency of Chinese commercial banks. Key Words: M&A strategy, Synergistic effect, M&A performance.

Book Global Economic Prospects 2007

Download or read book Global Economic Prospects 2007 written by World Bank and published by World Bank Publications. This book was released on 2006 with total page 216 pages. Available in PDF, EPUB and Kindle. Book excerpt: Over the next 25 years developing countries will move to center stage in the global economy. Global Economic Prospects 2007 analyzes the opportunities - and stresses - this will create. While rich and poor countries alike stand to benefit, the integration process will make more acute stresses already apparent today - in income inequality, in labor markets, and in the environment. Over the next 25 years, rapid technological progress, burgeoning trade in goods and services, and integration of financial markets create the opportunity for faster long-term growth. However, some regions, notably Africa, are at risk of being left behind. The coming globalization will also see intensified stresses on the "global commons." Addressing global warming, preserving marine fisheries, and containing infectious diseases will require effective multilateral collaboration to ensure that economic growth and poverty reduction proceed without causing irreparable harm to future generations."

Book The Handbook of Mergers and Acquisitions

Download or read book The Handbook of Mergers and Acquisitions written by David Faulkner and published by OUP Oxford. This book was released on 2012-06-07 with total page 774 pages. Available in PDF, EPUB and Kindle. Book excerpt: With its inception at the end of the nineteenth century as a means of consolidation and reorganization, mergers and acquisitions (M&A) have since become quasi-institutionalized as one of the primary strategic options for organizations, as they seek to secure their position in an ever more competitive and globalizing market place. Despite the optimism surrounding M&A as strategic moves, research on post-merger company performance suggests that most firms engaging in M&A activity do not achieve the sought-after performance targets, either immediately or in the years following the deal. What is it that drives M&A activity when research results do not support the performance expectations of these undertakings? Alternatively, have M&A scholars got it all wrong in the way that M&A performance is measured? Is the topic too complex, enduring, and multifaceted to study? The Handbook argues that the field of M&A is in need of a re-rooting: past research needs to be critically reviewed, and fundamental assumptions revisited. A key issue preventing efforts in the practice and study of M&A from achieving dynamic syntheses has been the disciplinary gulf separating strategy, finance, and human relations schools. The Handbook aims to bridge the hitherto separate disciplines engaged in the study and practice of M&A to provide more meaningful results. Toward this end, the Handbook brings together a set of prominent and emerging scholars and practitioners engaged in the study of M&A to provide thought-provoking, state of the art overviews of M&A through four specific 'lenses' - strategic, financial, socio-cultural, and sectorial approaches. By summarizing key findings in current research and exploring ways in which the differing approaches could and should be 'synthesized', it aims to highlight the key issues facing M&A practitioners and academics at the dawn of the third millennium.
