Download or read book The European Regulation of Securities Exchanges e Book written by GARGANTINI MATTEO and published by G Giappichelli Editore. This book was released on 2021-05-28 with total page 225 pages. Available in PDF, EPUB and Kindle. Book excerpt: Securities exchanges play a crucial role in the financial sector. They help issuers raise new capital and facilitate transactions among investors by providing liquidity. The book “The European Regulation of Securities Exchanges” addresses the EU regulatory framework on regulated markets from the point of view of their organisation as transactional platforms providing multiple services (listing, trading, data vending) to various user groups (such as issuers, institutional investors, algorithmic traders, and others). The book considers how technological developments and regulatory measures concerning each of these services and user groups affect all the others, sometimes delivering unexpected results. “The European Regulation of Securities Exchanges” is of interests to academics, regulators and practitioners.

Book EU Securities and Financial Markets Regulation

Download or read book EU Securities and Financial Markets Regulation written by Niamh Moloney and published by Oxford University Press. This book was released on 2023-03-25 with total page 1335 pages. Available in PDF, EPUB and Kindle. Book excerpt: Over the decade or so since the global financial crisis rocked EU financial markets and led to wide-ranging reforms, EU securities and financial markets regulation has continued to evolve. The legislative framework has been refined and administrative rulemaking has expanded. Alongside, the Capital Markets Union agenda has developed, the UK has left the EU, and ESMA has emerged as a decisive influence on EU financial markets governance. All these developments, as well as the Covid-19 pandemic, have shaped the regulatory landscape and how supervision is organized. EU Securities and Financial Markets Regulation provides a comprehensive, critical, and contextual account of the intricate rulebook that governs EU financial markets and its supporting institutional arrangements. It is framed by an assessment of how the regime has evolved over the decade or so since the global financial crisis and considers, among other matters, the post-crisis reforms to key legislative measures, the massive expansion of administrative rulemaking and of soft law, the Capital Markets Union agenda, the development of supervisory convergence as the means for organizing pan-EU supervision, and ESMA's role in EU financial markets governance. Its coverage extends from capital-raising and the Prospectus Regulation to financial market intermediation and the MiFID II/MiFIR and IFD/IFR regimes, to the new regulatory regimes adopted since the global financial crisis (including for benchmarks and their administrators), to retail market regulation and the PRIIPs Regulation, and on to the EU's third country regime and the implications of the UK's departure from the EU. This is the fourth edition of the highly successful and authoritative monograph first published as EC Securities Regulation. Heavily revised from the third edition to reflect developments since the global financial crisis, it adopts the in-depth contextual and analytical approach of earlier editions and so considers the market, political, institutional, and international context of the regulatory and supervisory regime.

Book European Securities Markets The Investment Services Directive and Beyond

Download or read book European Securities Markets The Investment Services Directive and Beyond written by Guido Ferrarini and published by Kluwer Law International B.V.. This book was released on 1998-03-04 with total page 428 pages. Available in PDF, EPUB and Kindle. Book excerpt: The European Union is moving towards the full implementation of the Investment Services Directive (ISD). Indeed, in some Member States, further changes to the domestic legal framework to increase competition among financial institutions and markets will complete or complement its implementation. This book includes updated papers written by academics and practitioners from Europe and the United States and presented at the Genoa Seminar on European Investment Markets, held in November 1996. Several papers examine critical aspects of the ISD from a comparative viewpoint, in particular considering the appropriateness of further harmonisation. The regulation of financial exchanges in the new competitive arena and the need for cooperation between supervisors receive special attention. Its evaluation of the economic impact of ISD implementation and consideration of further perspectives makes European Securities Markets one of the first and most comprehensive publications on the ISD implementation. The volume will interest and educate all those involved in European securities and derivatives markets in either a legal or economic capacity, including banking and financial lawyers, financial economists, regulators, exchanges and intermediaries.

Book Insider Trading The Laws of Europe the United States and Japan

Download or read book Insider Trading The Laws of Europe the United States and Japan written by Emmanuel Gaillard and published by Springer. This book was released on 1992-02-10 with total page 494 pages. Available in PDF, EPUB and Kindle. Book excerpt: Regulation of insider trading has changed dramatically in the past few years. In reaction to highly publicized insider trading scandals and the internationalization of securities markets, all European countries have recently either strengthened their existing rules (France and the United Kingdom) or implemented new rules (Denmark, Greece, The Netherlands, Belgium, Ireland, Spain, Portugal, Luxembourg, and Italy). The United States continues to refine its insider trading regulations, and Japan has recently enacted legislation in this field. As a result of the increasingly international nature of insider trading, supervisory authorities throughout the world now closely coordinate their efforts. Drawing from the experience of law professors, governmental officials and practising lawyers, this book explores the regulations of eighteen countries in Europe, the United States and Japan, as well as the EC Directive Coordinating Regulations on Insider Dealing, and the Council of Europe's Convention on Insider Trading. This book is an indispensable tool for practising lawyers, legislators, academics, and international business and finance professionals. Combining legal doctrine and practical information, it analyzes, for each legal system, how insider trading is defined and controlled. Further, it addresses other stock-related infractions and international law issues such as jurisdiction and international cooperation.

Book Integration of the Securities Market Infrastructure in the European Union

Download or read book Integration of the Securities Market Infrastructure in the European Union written by Elias G. Kazarian and published by International Monetary Fund. This book was released on 2006-10 with total page 34 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper examines the impact of ongoing cross-border integration of securities market infrastructure in the European Union. In particular, it analyzes the regulatory framework that has evolved to deal with the risks associated with cross-border clearing and settlement and concludes that, due to institutionalized deficiencies, the current cross-border regulatory framework may not be adequate or effective in addressing and preventing a real cross-border crisis. The paper proposes a two-tier regulatory framework for securities infrastructure in Europe entailing the creation of a centralized "federal" European regulatory framework for regional systems, in addition to the current national regulatory framework for domestic systems.

Book Building an EU Securities Market

Download or read book Building an EU Securities Market written by Eilís Ferran and published by . This book was released on 2004 with total page 304 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book considers some of the fundamental issues concerning the legal framework that has been established to support a single EU securities market. It focuses particularly on how the emerging legal framework will affect issuers' access to the primary and secondary market. The Financial Services Action Plan (FSAP, 1999) was an attempt to equip the community better to meet the challenges of monetary union and to capitalise on the potential benefits of a single market in financial services. It led to extensive change in securities market regulation: new laws; new law making processes, and more attention to the mechanisms for the supervision of securities market activity and legal enforcement. With the FSAP nearing completion, it is a good time to take stock of what has been achieved, and to identify the challenges that lie ahead.

Book Prospectus for the Public Offering of Securities in Europe Volume 1

Download or read book Prospectus for the Public Offering of Securities in Europe Volume 1 written by Dirk Van Gerven and published by Cambridge University Press. This book was released on 2009-12-18 with total page pages. Available in PDF, EPUB and Kindle. Book excerpt: The Prospectus Directive of 4 November 2003 sets the rules on the publication of a prospectus in the event that securities are offered to the public or admitted to trading on a stock exchange in the European Union. These rules apply in all 30 member states of the European Economic Area. Since member states decide to a large extent how to implement the Directive in their law, the rules in the different member states will differ substantially. It is therefore important not only to have an understanding of the rules laid down in the Directive but also to obtain knowledge of the rules applicable in the different states. As an English book it provides an understanding for non-Europeans of the rules applicable on the publication of a prospectus. A comprehensive table of contents, text of the European Directive and a list of national implementing laws are also included.

Book Does Europe Need an SEC

Download or read book Does Europe Need an SEC written by Karel Lannoo and published by . This book was released on 1999 with total page 58 pages. Available in PDF, EPUB and Kindle. Book excerpt: The rapid integration of capital markets under EMU has triggered a debate on the remaining barriers to a true single market. Some have argued the need for a 'European SEC' to help overcome these barriers. This would be a step too far, however. Not only is there first a need for more regulatory harmonisation, which the European Commission is committed to achieving, but it would also require an amendment to the EU Treaty. Nor is it particularly desirable either, for securities markets will most likely evolve differently in the EU than they have in the US. Furthermore, some degree of regulatory competition can do no harm, and is implicit in the principles governing the single market, as long as it does not hamper market integration. This also fits with the current structure of market supervision in the EU, where the dividing line between regulation and self-regulation differs importantly from country to country.
