Book excerpt: This note weighs the merits of a capital market union (CMU) for Europe, identifies major obstacles in its path, and recommends a set of carefully targeted policy actions. European capital markets are relatively small, resulting in strong bank-dependence, and are split sharply along national lines. Results include an uneven playing field in terms of corporate funding costs, the rationing out of collateral-constrained firms, and limited shock absorption. The benefits of integration center on expanding financial choice, ultimately to support capital formation and resilience. Capital market development and integration would support a healthy diversity in European finance. Proceeding methodically, the note identifies three key barriers to greater capital market integration in Europe: transparency, regulatory quality, and insolvency practices. Based on these findings, the note urges three policy priorities, focused on the three barriers. There is no roadblock—such steps should prove feasible without a new grand bargain.

Accepting sovereign CDS spreads as measurements of investment expectations regarding the development of Bulgarian capital market, we review the role of accounting information in CDS pricing because the accounting data may help investors make the most effective decision. The aim will be accomplished by creating an empirical model, based on the theoretical ones, including a panel data approach, several accounting variables, which are expected to have an impact on CDS spreads.n this research, we analyze the joint movement of eleven financial markets of South East Europe (SEE) - Bulgaria, Croatia, Greece, Serbia, Slovenia, Turkey, Romania, Montenegro, Macedonia, Banja Luka and Sarajevo (Bosnia and Herzegovina) using correlation and regression analysis during the period 2005-2015. We reveal the role of investors’ expectations on the capital markets dynamics and sovereign credit risk in Bulgaria. Over the intervening years there have been times of both significant regulatory change, specifically during the Financial Services Action Plan ('FSAP') period and again following the recent financial crisis, but also times of relative inactivity such as in the immediate post-FSAP period. This paper analyses the creation of the European capital market, and the regulatory and institutional reforms that have occurred in this context, particularly in the light of the recent crisis. Specifically, the financial crisis has prompted a major regulatory overhaul within the EU. In particular the legislative reforms have focused on greater centralisation of powers at the European level, increased and more intensive regulation, and an extension of the regulatory perimeter to capture a broad array of firms, instruments, and trading practices within the EU regime. The scale of change has been enormous, with the development of the 'single European rulebook' illustrating just how far the European capital market project has come. Nonetheless, it is also remains clear that regulatory reforms that represent a 'knee-jerk' reaction to a crisis tend to be poorly designed, and are rarely the changes that are required and it remains to be seen how well the rules will stand up in a future crisis.

Using the framework of exchange and regulation, European capital markets are analyzed and it is shown that a common European area of financial exchange has developed. Concerning financial regulation, one can see that the EU has become the most dominant rule setter and the regulation established can be interpreted as being of a statutory kind. Showing the shortcomings of this process, the set-up of a more transparent mega-regulator to control all financial market segments and financial agents is proposed.
