It explains how privatized post-Soviet enterprises, many of which made little sense as business units, were transformed into functional firms able to operate in the environment of a market economy. It provides detailed case studies of three key companies – Yukos Oil Company, Siberian (Russian) Aluminium and Norilsk Nickel – all of which played a key role in Russia’s economic recovery after 1998, describing how these companies were created, run and have developed. It shows how Russian businesses during the 1990s routinely relied on practices not entirely compatible with formal rules, in particular in the area of corporate governance. The book fully explores the critical role played by informal corporate governance practices - such as share dilution, transfer pricing, asset stripping, limiting shareholders access to votes, and 'bankruptcy to order’ - as Russian big business developed during the 1990s. Unlike other studies on Russian corporate governance, this book highlights the ambiguous impact of informal corporate governance practices on the companies involved as commercial entities, and suggests that although their use proved costly to Russia’s business reputation, they helped core groups of owners/managers at the time to establish coherent business firms. Overall, the book shows that we cannot understand the nature of current economic changes in Russia without recognising the crucial role played by informal corporate governance practices in the creation and development of big business in post-Soviet Russia.

Book excerpt: In today's corporate Russia, the State remains a significant shareholder with controlling or blocking stakes in several large and dominant enterprises, which according to some studies account for roughly 50% of the country's GDP. While noteworthy improvements were made in the past years with regard to the way State-owned enterprises (SOEs) are governed, the perception, as measured by investors' valuations of Russian SOE shares, suggests that there is still much to do. Understanding the challenges of the Russian SOE sector and improving its corporate governance becomes, in this context, a key driver of potential economic growth and development. The objective of this paper is to offer a general description of the corporate governance of the Russian SOE sector. For this, we first depict the development of corporate Russia and address some key issues related to its current ownership and control structure (Section I). Second, we focus specifically on the SOE sector and provide comparative data from different sources measuring its governance and performance (Section II). Then, we address the role of the Russian State as shareholder (Section III) and we conclude highlighting areas where adoption of international best practices for SOEs could have a positive effect on the Russian economy and capital market (Section IV).

Book excerpt: ABSTRACTRussia has been lagging behind most of the developed countries and some of the transition economies in terms of the corporate governance infrastructure (Woodruff, 2004). However, the challenge to develop strategic assets, particularly in the form of oil and gas reserves, produced the need to attract foreign capital and expertise. This in turn has led to a mounting pressure to improve fundamental characteristics of corporate governance such as the regulatory environment, enforcement mechanisms, corporate structure and transparency (Preobragenskaya, 2004). Since strategic assets are at the very heart of the still undiversified Russian economy, it is easy to see how corporate governance has become one of the top priorities on the agenda of national reforms (EU-Russia Roundtable on Corporate Governance, 2006). This study attempts to register the perceived change in the institutional context in Russia through analysing reported corporate disputes. Thematic template analysis is applied to the data on corporate conflicts taken from the English language Russian press. The results of the study suggest a positive change in perception about the role of formal institutions with reference to private entities and a negative change in terms of perception in relation to state entities. This conclusion is based on the comparison of corporate disputes and enforcement practices employed by the parties to corporate disputes reported in 1998 and 2006. On an academic level this study addresses a call in the literature to give more consideration to the particularities of the management environment and the fragility of its social systems in Russia (Kuznetsov & Kuznetsova, 2001) as well as complement understanding of Russian corporate governance by concentrating on the in-depth analysis of company behaviour (Iwasaki, 2007).
