Available in PDF, EPUB and Kindle. Book excerpt: Newcombe grew up in Missouri, and was absolutely fascinated by wildlife of all kinds. He particularly enjoyed the outdoor observation of these creatures in a natural setting. Seeing them, finding them, and guessing what they had been doing was his fascination. Moving to Michigan in his teens offered an entirely different environment with all new wildlife to observe. Immediately after high school he enlisted in the United States Army for three years. He spent a one-year tour of duty in Vietnam as an airmobile artilleryman where he was wounded in action and received the Purple Heart. The jungles of Vietnam also served to hone his skills in the observation of exotic species. Upon his discharge from the Army, he pursued a BS degree in industrial management. This ultimately led him into a never-before documented ecosystem-the corporations of the Fortune 500. Over the years, he noticed the behaviors of his fellow employees fell into patterns that were very similar to a species he had seen so many times before.

Book excerpt: Who is an “officer” of a corporation? That is the straightforward, yet complex, question this Article seeks to examine and answer. Corporate law contemplates three distinct actors involved in the governance of the corporation-directors, stockholders, and officers. State corporate statutes make clear the identities of the first two actors, yet “officer” is left relatively undefined. The definitional uncertainty surrounding “officer” results in individuals moving in and out of officer status in a chameleon-like fashion. The variable nature of “officer” in corporate law is problematic because officer status carries with it distinct legal consequences. Linguistic precision is vital to the development, practice, and application of corporate law, but to achieve this there needs to be clear delineation of “officer”'s legal meaning. This is necessary for individuals to understand their legal responsibilities and authority, and lawyers and judges to communicate efficiently and effectively. If left unresolved, definitions will be determined ex post, allowing parties to opportunistically define “officer” to fit their particular argument or position. The recent rise of private ordering in corporate governance has highlighted the need for consensus and predictability with respect to delineating “officer” status. This paper proposes a prototype-centered definition of “officer” that incorporates both objective and subjective criteria. The result is a nuanced definition that accounts for the legal and traditional officer roles that are contemplated in corporate jurisprudence. The proposed definition accounts for existing statutory regimes and stabilizes the meaning of “officer” as a category of corporate actor.

Book The Role of Business in Fostering Peaceful Societies

Download or read book The Role of Business in Fostering Peaceful Societies written by Timothy L. Fort and published by Cambridge University Press. This book was released on 2004-11-11 with total page 252 pages. Available in PDF, EPUB and Kindle. Book excerpt: Originally published in 2004, this book offers a fresh approach to understanding responsible business practice. Global protests against multinational companies often give the misleading impression that the interests of multinationals and of peaceful societies are at odds. By contrast, Fort and Schipani contend, not only does business benefit from a peaceful environment but it can in fact effectively foster peace through adopting responsible and open working methods. Firms that promote economic development, that allow external evaluation of their affairs and that build a sense of community both within the company and in their local areas make a great contribution to building a more harmonious culture. Relevant for academics and practitioners, the book shows how companies can encourage collaborative working across borders, discourage corruption and create citizenship and problem-solving practices which tend to reduce violence and increase social harmony.

Book Corporate Attribution in Private Law

Download or read book Corporate Attribution in Private Law written by Rachel Leow and published by Bloomsbury Publishing. This book was released on 2022-02-24 with total page 307 pages. Available in PDF, EPUB and Kindle. Book excerpt: Looking at key questions of how companies are held accountable under private law, this book presents a succinct and accessible framework for analysing and answering corporate attribution problems in private law. Corporate attribution is the process by which the acts and states of mind of human individuals are treated as those of a company to establish the company's rights, duties, and liabilities. But when and why are acts and states of mind attributed in private law? Drawing on a wide range of material from across the disparate areas of company law, agency law, and the laws of contract, tort, unjust enrichment, and equitable obligations, this book's central argument is that attribution turns on the allocation and delegation of the company's own powers to act. This approach allows for a much greater and clearer understanding of attribution. A further benefit is that it shows attribution to be much more united and coherent than it is commonly thought to be. Looking at corporate attribution across the broad expanse of the common law, this book will be of interest to lawyers across the common law world, including the United Kingdom, Australia, Canada, and Singapore.

Book Shadows of Success Ninja Techniques for Corporate Survival

Download or read book Shadows of Success Ninja Techniques for Corporate Survival written by Gaurav Garg and published by Gaurav Garg. This book was released on 2024-08-07 with total page 174 pages. Available in PDF, EPUB and Kindle. Book excerpt: Ah, the corporate world. A place where dreams go to die and Excel spreadsheets go to multiply. Or is it? What if I told you that beneath the surface of mind-numbing meetings and soul-crushing cubicles lies a secret world of corporate ninjas, silently shaping the fate of companies and careers alike? Welcome, dear reader, to "The Art of the Corporate Ninja: Succeeding in Business Without Losing Your Soul (or Your Mind)". If you've picked up this book, chances are you're either: A bright-eyed newcomer to the corporate jungle, eager to learn its ways (bless your heart) A battle-hardened veteran, wondering if there's more to life than TPS reports Someone who accidentally grabbed this instead of "Zen and the Art of Motorcycle Maintenance" (honest mistake, they're practically the same thing) Regardless of which category you fall into, strap in. You're about to embark on a journey that will transform you from a mere corporate drone into a lean, mean, PowerPoint-presenting machine. "In the world of business, the people who are most successful are those who are doing what they love." - Warren Buffett Okay, that's a nice quote and all, but let's be real. Not all of us can be Warren Buffett, sipping on Cherry Coke while making billion-dollar decisions. Some of us are just trying to make it through the day without stapling our tie to important documents or falling asleep in a meeting about meetings. That's where the art of the corporate ninja comes in. This book will teach you how to: Navigate office politics with the stealth of a shadow Deliver presentations that don't put people to sleep (a true superpower) Master the art of looking busy while doing absolutely nothing Climb the corporate ladder without stepping on too many fingers And most importantly, maintain your sanity and sense of humor in a world gone mad But wait, there's more! Unlike other business books that take themselves way too seriously, this one comes with a healthy dose of sarcasm, pop culture references, and the occasional dad joke. Because let's face it, if you can't laugh at the absurdity of corporate life, you're in for a long, dreary career. So whether you're aiming for the corner office or just trying to survive until Friday, this book has something for you. It's part survival guide, part comedy routine, and part Zen koan (yes, really). By the time you're done, you'll be slicing through red tape with the precision of a samurai sword and deflecting pointless emails faster than Neo dodging bullets in The Matrix. A word of warning: reading this book may cause uncontrollable eye-rolling, sudden outbursts of laughter, and a strong desire to karate chop your keyboard. Side effects may include increased productivity, better work-life balance, and the ability to see through corporate BS from a mile away. Ready to unleash your inner corporate ninja? Turn the page, young grasshopper. Your journey to business badassery begins now. Oh, and if your boss catches you reading this at work, just tell them it's a very serious book about synergizing paradigms and leveraging core competencies. They'll either be impressed or so confused they'll leave you alone. Win-win. Now, let's begin our training. Hajime!
