Book excerpt: Thirty years have passed since the Ninth Circuit decided Bolker, granting section 1031 nonrecognition to an exchange of property that the exchanger received from a corporation in a tax-free liquidation. The Bolker opinion establishes that a person can satisfy the section 1031 holding and use requirements, even though the person receives property with the intent to transfer it as part of a section 1031 exchange. Even though little has happened in this area of the last over the last thirty years, property owners and their advisors continue to worry about properly structuring transactions that are similar to the Bolker transaction. This article reviews Bolker and the few rulings and cases that consider similar transactions and the authority that presents other doctrines that could apply to them. It also considers problems that can crop up in these types of transactions and steps that property owners and their advisors can take to avoid those problems. Finally, it anticipates arguments that the IRS and state taxing authorities may make in challenging the tax-free treatment of Bolker-like transactions and considers the viability of such arguments.

The Magneson opinion establishes that a person can satisfy the section 1031 holding and use requirements, even though the person receives property with the intent to transfer to another entity tax free. A handful of cases, at both the federal and state levels, confirm the holding in Magneson and show that its scope extends beyond the facts in that case. This article reviews Magneson and the cases that have followed. It also considers some of the theoretical issues raised by Magneson, such as whether the type of state-law entity could affect the application of Magneson, and concludes that those issues should not affect the application of the principal holding in Magneson -- a valid section 1031 exchange can precede a contribution of property to a tax partnership, regardless of its state-law form.

Opponents of high tax rates claim that heavy assessments have negative incentives on the productivity of some of our most talented citizens; supporters stress the importance of the rich shouldering their "fair share," and decry the loopholes that permit many to escape their obligations. Notably absent from this debate is hard evidence about the actual impact of taxes on the behavior of the affluent. This book presents evidence by leading economists of the effects of taxes on the formation of businesses, the supply of labor, the form of executive compensation, the accumulation of wealth, the allocation of portfolios, and the realization of capital gains. Among its findings are that the labor supply of the rich remained unchanged in the face of large tax cuts in 1986, and that in late 1992 executives exercised billions of dollars' worth of stock options in order to beat the tax increases expected in 1993.
