Book excerpt: The modernization of Italy’s insolvency framework has been the subject of much interest in recent years, related not least to its role in potentially facilitating an efficient allocation of resources. A unique feature of Italy’s insolvency framework is a special regime for large enterprises known as “extraordinary administration”. This paper evaluates the merits of this special regime by assessing its efficacy and success in achieving its stated goals and comparing its features to international standards and best practices. It finds that the special regime tends to impose large costs on creditors and the state. The regime results, in most cases, in the sale of parts of the group, followed by a liquidation phase of the remaining assets which can take longer than the general regime, hindering legal certainty for creditors and more generally economic efficiency, investment and job creation. Based on international best practices and experience, consideration should be given to folding the special regime into the general insolvency regime, possibly with provisions to allow for state intervention in specific well-defined circumstances.

But some changes provoke more attention than others, in part due to the vast uncertainty involved in making predictions about the future. The 2019 World Development Report will study how the nature of work is changing as a result of advances in technology today. Technological progress disrupts existing systems. A new social contract is needed to smooth the transition and guard against rising inequality. Significant investments in human capital throughout a person’s lifecycle are vital to this effort. If workers are to stay competitive against machines they need to train or retool existing skills. A social protection system that includes a minimum basic level of protection for workers and citizens can complement new forms of employment. Improved private sector policies to encourage startup activity and competition can help countries compete in the digital age. Governments also need to ensure that firms pay their fair share of taxes, in part to fund this new social contract. The 2019 World Development Report presents an analysis of these issues based upon the available evidence.

Non manca una ricostruzione sistematica degli accordi stragiudiziali nell’ambito della crisi d’impresa, anch’essi riformati con l’introduzione di strumenti tipici quali i piani attestati e gli accordi di ristrutturazione dei debiti. Viene dato spazio anche al trust, altro strumento negoziale, con la sua peculiare derivazione da ordinamenti esteri. Una specifica trattazione è dedicata alle varie attestazioni di veridicità, fattibilità e convenienza previste nel concordato preventivo, nei piani attestati e negli accordi di ristrutturazione, nonché ai principi nazionali e internazionali che devono essere osservati dall’esperto alle connesse sue responsabilità. Ancora, viene esaminata la transazione fiscale, sia nel concordato preventivo sia nell’accordo di ristrutturazione dei debiti, con particolare attenzione agli effetti della mancata accettazione della transazione stessa e alla vexata quaestio della sua rilevanza per un concordato con falcidia del credito erariale per Iva e ritenute. Infine, un esame dei profili penali, sia nella responsabilità dell’attestatore, sia nei reati di bancarotta semplice e preferenziale. L’insieme fornisce così, nell’ambito di una tematica sempre più attuale, il più aggiornato sforzo di esposizione sistematica di una tumultuosa evoluzione legislativa e giurisprudenziale, che ha propaggini significative ancora nel 2014.
