Minister of Finance and Corporate Affairs introduced on 6th March 2020 in the Lok Sabha, the Companies (Amendment) Act, 2020 {Bill No.88 of 2020}. In the statement of Objects and Reasons for introducing the Bill, she stated, inter alia that as part of the constant endeavor of the Government to facilitate greater ease of living to law abiding corporates certain provisions of the Act are proposed to be decriminalized to provide further ease of living for corporates in the country. Several provisions of the Act related to defaults which lacked any element of fraud or do not involve larger public interest were decriminalized. Yet the continuing “less serious punishments” are serious enough for the Directors to be complacent. There are still 26 sections providing for punishment under section 447 as Cognizable Offence; 20 sections attracting Imprisonment and Fine; 8 sections imposing Imprisonment or Fine or Both; and 1 section providing for Imprisonment or Fine. This book can guide those Directors who have less knowledge on the compliance requirements under the Act, its rules and secretarial procedures. The authors highlight competition for prestige and public and private subsidies, exploring the consequences of these processes through theoretical and empirical analyses. Concepts addressed include stratification, privatization of formerly public subsidies, preference for “high tech” academic fields, and the vocationalization of the curriculum (i.e., Science, Technology, Engineering and Mathematics: [STEM] fields, selected professions, and business) rather than the liberal arts or the Humboldtian vision of the university. Across national contexts and analytic methods, authors analyze the growth of national policies that see universities as a sub set of economic development, casting universities as corporate research laboratories and education as central to job creation. Book excerpt: This study investigates the relation of total quality management (TQM) and just-in-time purchasing (JITP) with respect to firms' performance, based on theories from operations management, organization theory, strategic management and marketing. U.S. companies have implemented TQM and JITP techniques to improve their global competitive position. The lack of empirical research on how these techniques effect firms performance makes it necessary to explain their strategic values as management innovations. In this study, a cross-sectional mail survey was used with the target population of firms in the continental United States that have implemented either technique, or both. The results indicate that the extent of TQM and JITP implementation positively correlates with a firm's performance. Furthermore, the relation between JITP and financial and market performance is more significant in those industries that face high as opposed to low foreign competition. In this study, the validity of findings was assessed in four parts: statistical conclusion, internal, construct, and external validity. Each validity type is defined and its threats are discussed. Based on the findings, a revised research model is offered. The author also notes likely avenues of future research for theorists and practitioners.
