Book excerpt: This study examines the influence of specialist CEOs on the probability of failure and survivability of initial public offering (IPO) firms. We construct a generalist skills index based on CEOs' past employment history in order to classify CEOs into specialist and generalist ones. Specialist CEOs pursue a career in particular functional roles, firms and industry sectors, as opposed to generalist CEOs who accumulate their work experience through various positions, firms and industries. We uncover strong evidence that IPO firms with a specialist CEO have a lower probability of failure and a longer time to survive in subsequent periods following the offering. The findings suggest that specialist managerial ability has significant implications for post-issue performance of newly listed firms. Additionally, specialist CEOs may have incentives that are more aligned with those of the firm and its shareholders; thus, they are more likely to enhance the viability of IPO firms for a longer period of time.

Book excerpt: We study whether the financial experience of chief executive officers (CEOs) is associated with earnings management around initial public offerings (IPOs). Examining the sample of U.S. initial public offerings (IPOs) from 2003 to 2011, we find that newly listed firms with financial expert CEOs are less likely to engage in earnings management than those with non-financial expert CEOs. We also document that for IPO firms managed by financial expert CEOs the at-issue earnings management is positively associated with future accounting performance and not significantly related to post-issue long-term stock abnormal returns. This indicates that financial expert CEOs tend to be informative in financial reporting in order to allow investors to properly gauge the fair value of the firm. Overall, our findings support the importance of CEO financial experience in the provision of higher quality financial reporting.

These CEOs distinguished themselves not only by starting their own firms, but also by successfully managing them for long periods of time after their initial public offerings (IPOs). Considering such successes, it seems reasonable to think that company founders would be supported when they wish to lead their firms through the IPO process. However, in reality, institutions which get involved at the time of the IPO such as Venture Capitalist and Investment Banks, often put pressure on the founder to leave their CEO positions. In this book, I examine the impacts of replacing the founder with a professional CEO in firms that have issued an IPO on a US stock exchange between 1996 and 2000. It is found that replacing the founder-CEO by a professional results in a higher valuation of the issue. However, both the long-term stock performance and the firms' survival rate are higher for founder-led IPOs. This book is addressed to professionals involved in IPOs and corporate governance and to the academics focusing on top level management and IPOs.

Book excerpt: We examine the impact of the allocation of initial public offerings (IPOs) to specific investor groups on post-IPO performance in terms of how long an IPO remains listed. We focus on the Hong Kong IPO market, where detailed data on share allocation are publicly available. In this context, we assess the roles of so-called cornerstone and strategic investors in IPOs, who agree with the issuers a specified investment in the IPO and enter into lock-up periods. We find that the presence, number and lock-up periods of strategic investors, and the prevalence of foreign strategic investors, significantly increase IPO survival (delay the time to delisting). By contrast, the impact of cornerstone investors is at best marginally significant. Our results are robust to using different measures of survival.

Book excerpt: This study examines the survival rates of initial public offerings (IPOs) listed on the Hong Kong stock exchange between 1990 and 2010 and tracked until the end of 2013. The results show that the average survival rates on the Hong Kong market are high compared to other developed markets and the lowest is 78 percent over five years post listing. Furthermore, we find that the IPO firms are exposed to low failure risks even during and after financial crises. Investigating the determinants of survival rates, we find that the proportions of shares allocated to institutional investors and investor demand at the time of listing, along with initial investors' retained ownership, significantly increase survival rates. In addition, the survival rates are high when the IPO is family controlled and investors have long term investment horizon.
