Book excerpt: Spanish Insolvency Act dates back to 2003, but Spain was one of very few European countries lacking specific legislation on consumer insolvency. A first reform in 2013 introduced several provisions that could lead to a discharge for individuals. Its very limited scope was deeply criticized and there was a general consensus on the need of a further development of this issue to build a useful solution. The rules have been deeply amended by the latest amendment of the Insolvency Act in February 2015. The solution is still far from perfect and there are several provisions that compromise its usefulness. However, now it can be said that the Spanish Insolvency Law affords the situation of insolvent individuals in a more comprehensive way. The following lines will offer a first approach of the present situation on this regard.

Real estate collateral plays a critical role in Spain owing to the fact that a very large percentage of loans are collateralized with real estate. The institutional framework supporting insolvency and creditor rights has been strengthened but requires further reinforcement and more resources.

Book excerpt: Spanish Insolvency Law dates back to 2003, but Spain is one of very few European countries lacking specific legislation on consumer insolvency, even though the latest amendment to this law envisaged regulations on consumer insolvency in the near future. This deficit is however, compatible with a growing number of protection measures introduced as the financial crisis has deepened and become particularly acute in Spain as a consequence of the bursting of the housing bubble. One of the main characteristics of Spanish household debt was (and still is) the importance of mortgage credit in the purchase of family homes - 76% of family debt in September 2012, - which has resulted in a steadily increasing number of foreclosures. This explains the need for a special approach to the issue of consumer insolvency, recently more geared towards specific measures regarding mortgage credit and foreclosures than to the classic approach to discharging personal debt. This paper will show how Spanish Law and court decisions have reacted to a worsening crisis and its impact on consumers and families, in order to provide a snapshot of the current situation, and to predict where it might go from here.

Book excerpt: Small businesses, the majority of Spanish firms, rarely file for formal bankruptcy, and this has been the case even during the current economic crisis. This suggests that bankruptcy law has a limited role to play in the distress of small firms. We propose an explanation based on two premises: (i) bankruptcy procedures are more costly and drawn out than the main alternative procedure, the mortgage foreclosure; (ii) personal bankruptcy law is unattractive to the individual debtor. Empirical analyses on a large micro data sample of Spanish, French and UK firms corroborate our hypothesis. It is important to note that these results are based on data that do not yet capture the impact of recent reforms of the Spanish insolvency framework.

The solution to insolvency problems sometimes leads to a change in corporate control, namely when the solution involves modifying the capital structure of the company. In such cases, when the insolvent entity is a listed company, takeover bid regulation must be taken into account, as it can render the operation impossible or economically useless, if the change in control of the company must be accompanied by a mandatory takeover bid.
