Since Berle and Dodd started the discussion during the Great Depression, neither side has come to grips with the reality that they have no method to implement the chosen model. This article starts with the Berle-Dodd debate and shows that it was less polarized than today's politicized discussion. It reviews the shifting history of the Business Roundtable's dalliances with both views, and then demonstrates that neither the shareholder nor the stakeholder view is capable of enforcement. In the discussion of the enforceability of shareholder primacy, it takes on three cases that are almost always discussed in corporate governance scholarship, Dodge v. Ford, E-Bay v. Newmark, and Shlensky v. Wrigley. Ford and E-Bay are usually considered the cases establishing shareholder primacy as existing law. The article demonstrates that not only do those decisions fail to support the legal proposition, but the courts also failed to grasp the strategies and business decisions under review. The third case, Wrigley, often gets cited for the alleged excesses of the business judgment rule. The article shows why it should instead be cited as an example of judicial restraint. In the concluding sections, the article reveals that the winning alternative to the endless debate, the corporate enterprise view, is already the law and discusses likely criticisms of that view. Finally, the article calls for specific regulations to improve the focus on long-term value and for a commitment to the development of business ethics for the profession of management.

Agency theory proponents hold that firms should work towards maximisation of shareholder returns and stakeholder theory holds that a firm should also take other stakeholder interests into account. These typical arguments ignore the strategic stakeholder view of the firm which focuses on sustainable value creation. This paper examines the agency and stakeholder arguments from institutional investors' point of view i.e. from shareholders' perspective. Using some empirical research, it shows that in practice, institutional investors such as pension funds take stakeholder specific information of the firms into account while making investment decisions. Therefore, the argument of shareholder versus stakeholder is baseless considering capital markets integration of stakeholder relationships into firm valuations. The paper presents a dual argument - financial and political for strategic stakeholder theory. In the financial argument, since the value adding intangible factors such as human, intellectual and social capital depend upon crucial stakeholders, it is important to build good relations with these stakeholders. In the political argument, in a globalised world, shareholders themselves are indirect stakeholders (employees, communities and consumers) in the firms they invest in, hence, social and environmental factors are increasingly important in serving the dual interest of stakeholders who are merging in the pools of indirect shareholders through their pensions and other investments. Therefore, the academic dichotomy between strategic stakeholder management and shareholder expectations is artificial.
