Book excerpt: Excerpt from Selected Cases on the Law of Contracts In the present, third, edition of this collection of cases, the work has been entirely revised, and amplified by additional cases and many new annotations. The purpose of the book is to furnish a compact and, at the same time, comprehensive selection of authoritative material for the study and discussion of the principles of the law of contract. The work is now designed primarily to be used alone as the basis of instruction, although it may also be used conveniently with lectures or a standard treatise. The arrangement of topics follows that of Sir William Anson in his Principles of the English Law of Contracts, whose general plan has served as a model for some other treatises on the subject. This case book, however, covers some topics not dealt with in his book; and some that are treated there are not included here. Two chapters appearing in the former editions of this book, namely, Capacity of Parties, and Impairing the Obligation of Contract, are omitted in this edition, as these are topics which are commonly discussed in the courses on Persons and Constitutional Law in the usual law school curriculum. In many of the cases the statement of facts has, for the sake of brevity, been either re-written or abridged, without calling special attention to the matter. For the same reason, the practice, now common, of omitting unnecessary portions of the opinions, has been followed; but such omissions are always indicated. In this as in the preceding editions, the principal text consists of American cases, although English cases are represented in the notes and in the discussions in the opinions. A new feature and one that, it is hoped, may prove of value, is the reference note appended to substantially every case. This book has been prepared for the purpose of presenting the general principles of the Law of Contracts, by the study of selected cases, which illustrate and explain different parts of that subject. The cases selected, with one exception, have been taken from the decisions of the Supreme Court of North Carolina. This course has its disadvantage, no doubt, in that perhaps a greater variety of fact and discussion might have been obtained by taking other American or English cases, but it has its advantage, in that it gives a connected view of the whole subject in one jurisdiction. It is not intended to give the law of one jurisdiction exclusively, for. As a student I often wished for a compact portable volume containing the facts and important parts of the judgments of cases illustrating the Law of Contracts. As a lecturer, I feel more than ever convinced of the need for such a work. The student even if he has ready access to the Reports is apt to waste much time and patience on unimportant parts thereof, sometimes missing altogether the important part. Moreover, a lecturer can explain and illustrate principles by reference to decided cases so much more successfully if the student has before him the essential facts and extracts from the judgments bearing upon the point. These amongst other reasons have led me to attempt in the present volume to deal with the Law of Contracts on lines similar to those adopted by my friend and master in the Common Law, Professor Kenny, in his book of cases on the Law of Torts. In the second part I have added a few cases dealing with important points on some special commercial contracts, which I hope will be found useful. Finch, after long experience at the bar, in London, accepted in Cambridge the duties of an academical teacher of law. Wishing to adopt the methods of the Harvard Law School, which he had visited, he prepared and published a collection of judicial decisions on the law of Contract. After his death, a second' edition of this work, enhanced in value by the care and learning of Mr R. T. Wright and Professor W. W. Buckland, was issued in 1896. It has long been out of print, and even second-hand copies of it can seldom be obtained. The desirability of its reproduction has thus been obvious. But, under present commercial conditions, a volume of dimensions so large could not be published except at a prohibitive cost. Under these circumstances, the Cambridge University Press, as proprietors of the copyright, decided that the book should again be made accessible; but in a form so abridged that its price should not place it beyond the reach of the ordinary student. The Syndics, with the kind and ready consent of Mr Wright and Professor Buckland, entrusted to me the preparation of the proposed work. I have omitted only those very few decisions that seem to have lost their authority or their interest. By the generous permission of the Incorporated Council of Law Reporting, I have been 'enabled to insert various cases that have been decided since the edition of 1896 was published. Most of the cases contained in that edition I have abridged greatly; but without much detriment, I hope, to their educational value. To some of the judgments I have added brief annotations; to explain or to develop the doctrines they establish. And, as questions of the Interpretation of Contracts arise so frequently in legal practice, I have introduced a chapter upon that subject. I have also added a few decisions upon the Assignment of Contracts. The net result is to give the student, in a volume of moderate dimensions, the pith of the facts and law of some two hundred and forty reported cases.
