Book The Internet Securities Regulation and Theory of Law

Download or read book The Internet Securities Regulation and Theory of Law written by Tamar Frankel and published by . This book was released on 2014 with total page pages. Available in PDF, EPUB and Kindle. Book excerpt: Rarely has a change in the environment affected society as dramatically as the Internet. It has transformed the way we retain, transfer, and exchange information. At minimal cost, the Internet offers us far more information at a faster pace than ever before. It enables us to interact around the globe with more people than at any time in the past. When such dramatic environmental changes occur, drastic changes in the law often follow. 1 The Internet affects the environment in which securities markets operate, and the laws that govern them. 2 The use of the Internet has already begun to change the way information about securities is disseminated and the way in which securities are traded, 3 two activities that are regulated by the securities laws. 4 When the environment changes drastically, the gap between law in action and law on the book, between practice and theory, tends to widen. This Article is aimed at bridging this gap. Should the securities laws be adapted to the use of the Internet? If so, how? What path of inquiry should be taken to answer the questions and how should we think about adapting law to a changing environment of actors and actions subject to law? The main purpose of the Article is to begin this inquiry.

Download or read book U S Securities Regulation and the Use of the Internet in Registered Offerings written by Joseph J. Norton and published by . This book was released on 2016 with total page 30 pages. Available in PDF, EPUB and Kindle. Book excerpt: This article raises the question of whether the United States should continue primarily to rely on its existing securities law framework, or whether it needs a radically different framework when dealing with Internet-related securities issues. With this basic question in mind, the authors explore how the SEC has handled the rise of the Internet, and whether there truly is a need for new rules, regulations, or even legislation. After describing the basic principles of U.S. securities regulation, the authors consider what the Internet/electronic media is, and to what it enables its users. The article then addresses certain aspects regarding how the electronic media has affected registered stock offerings, and how the SEC has been addressing this new use. The authors conclude with a look at how the SEC's Division of Enforcement approaches fraud and the Internet.

Book Securities Law in the Internet Age

Download or read book Securities Law in the Internet Age written by Anita Anand and published by . This book was released on 2014 with total page 32 pages. Available in PDF, EPUB and Kindle. Book excerpt: Securities regulation relating to the Internet calls on issuers to ensure that an electronic document being delivered to shareholders or investors conforms to existing rules. As the Internet becomes increasingly accessible, should the dominant approach to securities regulation give way to a new approach that recognizes the technological advantages of the Internet? The author argues that the current "paper-based" approach to the disclosure of information is incompatible with the reality of communication in cyberspace. The present regime excessively limits the effectiveness of "webversions" of a document, which may include hyperlinks and multimedia applications. The author reevaluates current law and suggests the adoption of an "Internet Initiative" to account for recent developments in information technology.
