Book excerpt: The fourth edition of the leading company law textbook, provides the most authoritative and comprehensive commentary on Irish company law following the commencement of the Companies Act 2014. The Companies Act 2014 makes the most far-reaching and fundamental changes to Irish company law in two generations, putting forward a radically different approach whereby the private company limited by shares will become the new model company. The structure of the fourth edition of this highly regarded title mirrors this new Act. The Act comprises over 1,448 Parts and represents the modern statement of the law applicable to the formation of companies, administration and management to their winding up and dissolution, incorporating the rights and duties of their officers, members and creditors. The Act commences on 1 June 2015 and introduces significant changes for companies operating in Ireland. This work has been expanded and revised to account for these legislative changes and important case law. As chairperson of the Company Law Review Group, whose recommendations greatly informed the new Act and as a leading practitioner of company law, Tom Courtney has a unique insight to the new legislation, its purpose and interpretation. The fourth edition is virtually a complete re-write and at approximately 2,900 pages it is some 400 pages longer than the last edition. Fully updated to take account of the dozens of judgments from the Irish and UK courts that have been delivered since the previous edition as well as the new statutory provisions, the fourth edition of The Law of Companies is a 'must have' for all practitioners, students and users of Irish company law.

Book Ordinary Citizens and the French Third Republic

Download or read book Ordinary Citizens and the French Third Republic written by Karen Lauwers and published by Springer Nature. This book was released on 2022-05-25 with total page 361 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book analyzes the negotiation of socio-political concepts, such as citizenship, republicanism, and representation, between “ordinary” French citizens and their representatives in parliament during the early twentieth century. By examining the letters written to French Deputies of the Chamber (députés) at a tumultuous time in French political history, the author sheds light on the role that politically unorganized citizens played in the process of democratization. Central to the investigation are the aspirations, wishes and demands of individuals acting on their own or as spokespersons for informal communities. The way that they formulated personal requests in their letters to députés reveals their expectations of political representatives, the regime, and their own place in society. By taking a closer look at the epistolary relations between voters and non voters on the one hand and their deputies on the other during a time of rapidly succeeding governments, economic crises and changes in electoral laws, this book demonstrates how the Third Republic’s existence was co-determined by ordinary citizens’ perceptions of the regime. Helping readers to reflect on the nuances of the politicization process, this innovative book offers unique insights for those researching French political history and modern European political culture.

Book Heroes Saints and Ordinary Morality

Download or read book Heroes Saints and Ordinary Morality written by Andrew Michael Flescher and published by Georgetown University Press. This book was released on 2003-11-25 with total page 360 pages. Available in PDF, EPUB and Kindle. Book excerpt: Most of us are content to see ourselves as ordinary people—unique in ways, talented in others, but still among the ranks of ordinary mortals. Andrew Flescher probes our contented state by asking important questions: How should "ordinary" people respond when others need our help, whether the situation is a crisis, or something less? Do we have a responsibility, an obligation, to go that extra mile, to act above and beyond the call of duty? Or should we leave the braver responses to those who are somehow different than we are: better somehow, "heroes," or "saints?" Traditional approaches to ethics have suggested there is a sharp distinction between ordinary people and those called heroes and saints; between duties and acts of supererogation (going beyond the expected). Flescher seeks to undo these standard dichotomies by looking at the lives and actions of certain historical figures—Holocaust rescuers, Martin Luther King, Jr., Dorothy Day, among others—who appear to be extraordinary but were, in fact, ordinary people. Heroes, Saints, and Ordinary Morality shifts the way we regard ourselves in relationship to those we admire from afar—it asks us not only to admire, but to emulate as well—further, it challenges us to actively seek the acquisition of virtue as seen in the lives of heroes and saints, to learn from them, a dynamic aspect of ethical behavior that goes beyond the mere avoidance of wrongdoing. Andrew Flescher sets a stage where we need to think and act, calling us to lead lives of self-examination—even if that should sometimes provoke discomfort. He asks that we strive to emulate those we admire and therefore allow ourselves to grow morally, and spiritually. It is then that the individual develops a deeper altruistic sense of self—a state that allows us to respond as the heroes of our own lives, and therefore in the lives of others, when times and circumstance demand that of us.
