Yet, corporations are not traditional objects of criminal law. Justified by notions of personal moral guilt, criminal norms have been judged inapplicable to fictional persons, who ‘think’ and ‘act’ through human beings. The expansion of new corporate criminal liability (CCL) laws since the mid-1990s challenges this assumption. Our volume surveys current practice on CCL in 15 civil and common law jurisdictions, exploring the legal conditions for liability, the principles and options for sanctioning, and the procedures for investigating, charging and trying corporate offenders. It considers whether municipal CCL laws are converging around the notion of ‘corporate culture’, and, in any case, the implications of CCL for those charged with keeping corporations, and other legal entities, out of trouble.

Book excerpt: As shown by the trials of Slobodan Milosevic, Charles Taylor and Saddam Hussein, the large-scale and systematic commission of international crimes is usually planned and set in motion by senior political and military leaders. Nevertheless, the application of traditional forms of criminal liability leads to the conclusion that they are mere accessories to such crimes. This does not reflect their central role and often results in a punishment which is inappropriately low in view of the impact of their actions and omissions. For these reasons, international criminal law has placed special emphasis on the development of concepts, such as control of the crime and joint criminal enterprise (also known as the common purpose doctrine), which aim at reflecting better the central role played by senior political and military leaders in campaigns of large scale and systematic commission of international crimes. The Rome Statute of the International Criminal Court and the case law of the ICTY and the ICTR have, in recent years, played a unique role in the achievement of this goal.

Así, veremos cuáles son los requisitos para que una empresa puede ser sometida a dicha responsabilidad, esto es, qué directivos o empleados de la empresa, en qué condiciones, deben de cometer cuáles delitos para que se genere la responsabilidad penal de la empresa y cuáles son los delitos que, en concreto, generan dicha responsabilidad. Analizados los presupuestos de la responsabilidad, estudiaremos los requisitos para que la empresa pueda ser eximida de dicha responsabilidad o, lo que es lo mismo, los requisitos que deben de cumplir los programas de cumplimiento normativo para que produzcan efectos eximentes de la responsabilidad penal de la empresa. Igualmente, analizaremos cuáles son los requisitos para que esa responsabilidad, si es que es no es posible que la empresa se exima de ella, al menos, se atenúa. Todo ello, analizando no solo la legislación legal vigente sino, igualmente, las interpretaciones doctrinales y jurisprudenciales que hoy en día se están haciendo de dicha legislación legal vigente. En la segunda parte se analizarán, en un primer lugar, los delitos específicos que el Código Penal regula como propios de los administradores de una empresa y, en un segundo lugar, los delitos que los empleados de la empresa más prototípicamente pueden cometer en el desempeño de sus tareas societarias.
