Excerpt: ...(f) it is an act of bankruptcy if there is filed in the Court a declaration of an inability on the part of the debtor to pay his debts. These two sections were much considered in the House of Lords in the case of Crook v. lllorley (1), where Lord SEnnoRNE, in advising the House, says, " It is undoubtedly possible, that there might be a document speaking of inability to pay a man's debts in such a context and in such a manner as not to imply 'that he had suspended, or that he was about to suspend payment of his debts.' But on the other hand there might be a document of which the language might amount to ' a declaration of his inability to pay his debts, ' which, taking it with all its circumstances and in its context, would practically and according to the common sense of mankind, be a 'notice to his creditors that he had suspended, or was about to suspend payment of his debts.' " In the same case Lord WArsoN says: " A declaration of his inability to pay his debts may be made by a debtor to one or more of his creditors, in terms and under circumstances which do not suggest that he means to stop payment of his debts as they fall due. But that such a declaration may be couched in language which clearly implies that the debtor means to pay nobody in full, and to place his assets at the disposal of his creditors, does not appear to me to be doubtful." The result is that in each case all the circumstances must be looked at; and we have to find, beyond a simple declaration of inability to pay, some evidence of an intention on the part of the debtor to suspend payment of his debts, that is to say, to abstain from paying his debts as they fall due at least for a time. The creditor then applied to the Registrar for an order to annul the adjudication and rescind the receiving order. The Registrar refused the application, and the creditors appealed. It appeared that the debtor held a position as salesman in the City at a salary of 5l. A week, which was increased by commission on sales to about 8001. A year. He lived apart from his wife (who had a separate maintenance) in a house at Brentwood, the rental of which was some 60l. A year, and maintained his two children, who lived with him. Since 21 June, 1902, he had paid in all 411. 193. 6d. In respect of the judgment debt. The Official Receiver reported that there were no other debts and no assets. Excerpt: ...end of each year; and a summary of all the accounts showing the total value of such stockin-trade. The summary was signed by the manager, and the value as shown by it was adopted by the auditors, and was inserted as an asset in the balance-sheet, but " as per manager's certificate." The summary always corresponded with the accounts summarized, and the auditors ascertained that this was the case. But they did not examine further into the accuracy of the accounts summarized. The auditors did not profess to guarantee the correctness of this item. They assumed no responsibility for it. They took the item from the manager, and the entry in the balance-sheet showed that they did so. I confess I cannot see that their omission to check his returns was a breach of their duty to the company. It is no part of an auditor's duty to take stock. No one contends that it is. He must rely on other people for details of the stock-in-trade on hand. In the case of a cotton mill he must rely on some skilled person for the materials necessary to enable him to enter the stockin-trade at its proper value in the balance-sheet. In this case the auditors relied on the manager. He was a man of high character and of unquestioned competence. He was trusted by every one who knew him. The learned Judge has held that the directors are not to he blamed for trusting him. The auditors had no suspicion that he was not to be trusted to give accurate information as to the stockin-trade in hand, and they trusted him accordingly in that matter. But it is said they ought not to have done so, and for this reason. The stock journal showed the quantities, i.e. the weight in lbs., of the cotton and yarn at the end of each year.
