Book excerpt: Regulation of business activity is nearly as old as law itself. In the last century, though, the use of regulation by modern governments has grown markedly in both volume and significance, to the point where nearly every facet of today's economy is subject to some form of regulation. When successful, regulation can deliver important benefits to society; however, regulation can also impose undue costs on the economy and, when designed or implemented poorly, fail to meet public needs at all. Given the importance of sound regulation to society, its study by scholars of law and social science is also of paramount importance. In this chapter, we review the state of the field by focusing on four major areas of empirical research: (1) regulatory policy making, (2) regulatory enforcement, (3) business responses to regulation, and (4) innovative models of regulation. We begin by reviewing the political economy literature on the factors that influence government regulators as well as the ways that overseers may use administrative procedures to affect decisions of regulatory agencies. We next highlight the varied empirical findings on adversarial versus cooperative enforcement styles. We then review explanations for business responses to regulatory pressures, including the range of factors influencing compliance and beyond-compliance behavior. Finally, we survey the ever-growing research literature on innovative approaches to regulation, including self-regulation, performance standards, and market-based incentives. This chapter serves both as a stand-alone account of the existing state of empirical regulatory research by political scientists and researchers from other disciplines, as well as an introduction to the authors' edited volume that reprints a diverse collection of classic studies of regulation and regulatory processes.

Book excerpt: Modern regulatory theory has long treated voluntary self-regulation and direct government regulation as opposing ends of a regulatory continuum, with most self-regulatory schemes falling somewhere in the middle. This chapter explores the middle ground by examining co-regulatory approaches to privacy, in which industry enjoys considerable flexibility in shaping self-regulatory guidelines, consumer advocacy groups have a seat at the table, and government sets default requirements and retains general oversight authority to approve and enforce these guidelines. Privacy co-regulation is generally understood as a collaborative, flexible, and performance-based approach to privacy regulation that draws on the theoretical insights of collaborative governance theory. This chapter argues that privacy self-regulation in the form of voluntary codes has had a sufficiently long run to prove its worth but has failed. Now is the time to make the transition to co-regulation, especially in the U.S. It is organized into three sections. The first considers in greater detail the differences between self-regulation and co-regulation. The second looks at the failure and stubborn persistence of voluntary codes of conduct. The third shifts the discussion to three case studies of privacy codes and practices that have benefited from a co-regulatory approach. In the past few years, there have been some notable developments in co-regulatory schemes as well some important empirical studies. These new materials provide an opportunity to understand the conditions for the success (and failure) of co-regulatory solutions in the privacy field and what this implies for the future of regulatory innovation. The chapter concludes by offering a few recommendations on how the U.S. Congress can implement co-regulatory approaches in any future legislation to optimally protect online consumer privacy while preserving innovation and economic growth.

Co-regulation offers the state a route back into questions of legitimacy, governance and human rights, thereby opening up more interesting conversations than a static no-regulation versus state regulation binary choice. The basis for the argument is empirical investigation, based on a multi-year, European Commission-funded study and is further reinforced by the direction of travel in European and English law and policy, including the Digital Economy Act 2010. He places Internet regulation within the regulatory mainstream, as an advanced technocratic form of self- and co-regulation which requires governance reform to address a growing constitutional legitimacy gap. In this groundbreaking collaboration, regulatory lawyer Christopher Marsden and computer scientist Ian Brown analyze the regulatory shaping of “code”—the technological environment of the Internet—to achieve more economically efficient and socially just regulation. They examine five “hard cases” that illustrate the regulatory crisis: privacy and data protection; copyright and creativity incentives; censorship; social networks and user-generated content; and net neutrality. The authors describe the increasing “multistakeholderization” of Internet governance, in which user groups argue for representation in the closed business-government dialogue, seeking to bring in both rights-based and technologically expert perspectives. Brown and Marsden draw out lessons for better future regulation from the regulatory and interoperability failures illustrated by the five cases. They conclude that governments, users, and better functioning markets need a smarter “prosumer law” approach. The first section revisits the debates about the role of the corporation prompted by the publication of The Modern Corporation and Private Property (1932). The second section explores why the conception of enlightened shareholder interest gained and retained potency despite demonstrable failure. The third section explores how the interaction between the foundational assumptions of corporate law and the (questionable) efficacy of shareholder control framed regulatory responses to the growth of financial capitalism. The fourth section examines ways in which excess can be restrained by the interaction between hard law, softer governance arrangements such as principles and, crucially, norms.
