Book excerpt: Again and again, economists, corporate law scholars, and Congress have turned to reforms, like executive compensation reforms, as a solution to executive misbehavior. The root of the evil, they muse, is sky-high pay with only a flimsy connection to managerial performance. If CEO pay can only be rejiggered on the frontend and tied to performance, the argument goes, executives can be expected to pursue shareholder interests, put aside egos, and firms will prosper. This Article argues that such reforms are, despite the best of intention, fool's gold. The fallacy is not in thinking that CEOs and other executives who have abused their position and have failed to live up to expectations should be paid less. They should. However, this Article argues that when CEOs and other executives fail, they should be out of a job altogether. This Article goes on to describe how to create a right of retention by drawing the analogy to the public sphere. Specifically, this Article argues that one way to curb CEO misconduct is through periodic up-or-down votes, the same kind of retention-style elections a plurality of states use to give voters a say in whether judges should be ousted. Importantly, in states that use them, retention elections have treaded lightly -- they have created a monitoring device to hold in check the worse abuses without undermining the authority of public officials (governor and judicial nominating committees) from making their selections about whom should be appointed. Thus, this Article suggests that retention elections provide a useful path, after bad conduct occurs, to checking corporate executive abuses. Incidentally, as I have suggested in the past, this Article demonstrates that, once again, a solution from the public sphere might mitigate another long-standing problem in the private sphere -- this time, CEO accountability. Finally, this Article proposes a new classification scheme for efforts to rein in CEO misbehavior and promote accountability. This Article argues that expected success of efforts to rein corporate leadership abuses depends, crucially, on timing. This Article argues that reforms have more a chance of achieving their goals if the focus is on actual (or past) performance, not anticipated performance. Thus, this Article makes some initial claims about when to create prospective incentives for good behavior versus retrospective punishments for bad behavior.

If the translator s understanding of a narrative from the narrator s point of view is erroneous, then the whole process of translating the message into another language may also fall into error. This poses Bible translators a difficult challenge: How can we understand the narrator s point of view of the biblical stories which are culturally, geographically, and historically remote from our own? Understanding a text from the narrator s point of view must precede the translation process. In this work Hankore presents an argument for the intended utterance of Genesis 28:10 35:15 before proposing in brief how to translate it. By following this process, Hankore shows that a correct understanding of the concept of the ancient Israelite vow in the framework of a social institution is fundamental to reading and translating Genesis 28:10 35:15, and goes on to show how this same votive framework assist an explanation of the relevance of Genesis 34 to the Jacob story.

Stevens," to explore how American society attempts to balance the protection of free speech and the prevention of animal cruelty. Starting from the detailed case study of a single prominent ruling, the authors provide a masterful survey of important issues facing society in the area of animal welfare. The Stevens case included various "hot topic" elements connected to the role of government as arbiter of public morality, including judicial attitudes to sexual deviance and dogfighting. Because it is one of only two animal rights cases that the US Supreme Court has handled, and the only case discussing the competing interests of free speech and animal cruelty, it will be an important topic for discussion in constitutional and animal law courses for decades to come. The Stevens case arose from the first conviction under 18 USC 48 (Section 48), a federal law enacted in 1999, which criminalized the creation, sale, and/or possession of certain depictions of animal cruelty. The US Congress intended Section 48 to end the creation and interstate trafficking of depictions of animal cruelty in which animals are abused or even killed for entertainment's sake. Proponents of Section 48 predicted that countless benefits to both humans and animals would flow from its enforcement. Opponents of the law argued that it was too far-reaching and would stifle protected speech. Critics of Section 48 appeared to have prevailed when the US Supreme Court struck the law down as unconstitutionally overbroad. Although a law tailored to address the Supreme Court's concerns was quickly enacted, the free speech/animal cruelty controversy is far from over.
