Available in PDF, EPUB and Kindle. Book excerpt: Since China's economic reforms, securities activities have reappeared in China. In 1986, John Phelan, Chairman of the Board of the New York Stock Exchange (NYSE), presented the emblem of the NYSE as a gift to the then President of China, Deng Xiaoping. In return, the President of the Bank of China gave Mr. Phelan the first green-colored stock certificate in the history of the People's Republic of China, the stock of the Shanghai Feile Acoustics Company. In fact, the stock of the Shanghai Feile Acoustics Company was first issued in 1984. Excited, Mr. Phelan requested a visit to the first stock exchange in China. Mr. Phelan had a positive first impression of the Shanghai Jingan Stock Exchange, a room of about eleven square meters located in a building on Nanjing Xilu Road in Shanghai. Mr. Phelan commented that the Shanghai Jingan, in its nascency, was superior to the NYSE due to the fact that the initial transactions of the NYSE were completed under a tree. Since Mr. Phelan's first visit, China has not only established two national stock exchanges, but the trading value of the stock exchanges accounts for fifty percent of China's GDP. As a result of China's entry into the WTO, its securities market has opened further to foreign investors. China's securities market has caught worldwide attention. This Article investigates the role of the securities market in relation to corporate governance, and examines how the Chinese utilize the monitoring functions of the securities market to upgrade their corporate governance systems. This Article also explores other influential securities markets, and provides a comparative discussion on the securities regulations and practice in these systems.

Book excerpt: Listing by companies from one country on the stock market of another country is a device often used both to raise capital in, and to increase bonding with, the target country. This book examines the listing by Chinese companies on the Hong Kong stock market. It discusses the extent of the phenomenon, compares the two different regulatory regimes, and explores the motivations for the cross-listing. It argues that a key factor, in addition to raising capital and bonding with the Hong Kong market, is Chinese companies’ desire to encourage legal and regulatory reforms along Hong Kong lines in mainland China, in order to develop and open up China’s domestic capital markets.

Book Development Considerations for a Chinese National Securities Market

Download or read book Development Considerations for a Chinese National Securities Market written by David C. Donald and published by . This book was released on 2015 with total page 31 pages. Available in PDF, EPUB and Kindle. Book excerpt: This is a contribution to a conference volume for the 2010 National University of Singapore Symposium on “Law and Development in China - The Legal Dimension of China's Development Model.” The paper aims to shed some light on the way forward for the Chinese securities markets. It examines the desirability of financial markets for broader economic development, and presents the national market system implemented by the US and the norms in the EU's MiFID that promote competition among and integration of securities markets and alternative trading venues. The paper assesses the current state of the Chinese securities markets, where according to law trading is concentrated on traditional exchanges, against the backdrop of the rapidly evolving (disintegrating) US and EU markets. Clearly, China will be able to learn much from the experiences of the US and EU, but the route that China will take for further evolution of its national market for securities can at this point be neither predicted nor projected.
