Reappraising State-Owned Enterprise deals with a topic often undervalued in the past decade but which now, with the crisis of 2008-2009, calls for greater attention: the direct intervention of the State as Entrepreneur. The collection of essays in this volume – prepared by some of the leading authorities in the field – offers a contribution to this debate by providing a balanced assessment of two of the most relevant experiences of mixed economies, the United Kingdom and Italy. In this respect, a comparison between these two countries is very much appropriate since in both nations the State played an important role as "Entrepreneur" starting in the early 20th century. In Great Britain and Italy, the heyday of the "State as Entrepreneur" was in the years right after WWII when it was used as a tool for promoting a modern society in which citizens acquired a stronger sense of belonging to their nations. The UK and Italy saw the State take on a too-pervasive role in the 70s; the two nations responded in different ways. In the 1980s Great Britain embarked on a harsh process of privatizations while Italians struggled on until finally submitting to privatizations in their nation in the following decade. The deep crisis of the final years of the 21st century forced both nations to reconsider State interventions as an appropriate tool in order to protect the wellbeing of the national economy.

The 'Mapping Corporate Europe' project aims to provide a detailed account of the structural traits of the European Corporation in a framework which includes (i) a chronological analysis over 50 years, starting with the Rome treaty in 1957; (ii) geographical extension beyond previous analyses for France, Germany and the UK, by including smaller countries; (iii) firms from other industries in addition to manufacturing companies; and (iv) attention to internationalisation of European firms. These analyses form the basis of a rich description of the developments of large European corporations over the past five decades, using both qualitative and quantitative approaches. Fifteen years ago, politicians on the take and mafiosi on the make were supposedly pushed aside by a new generation of reformers and crusading magistrates. However, in this new book a team of leading experts on Italy uncovers little real progress. Badly needed reforms have foundered on bickering between the parties and their ego-centric leaders. Both left and right-wing coalitions have been guilty of impeding the anti-corruption revolution. Little has been done to improve the quality of public expenditure: infrastructure and education systems remain shambolic, and decades of periodic devaluation and deficit spending have left the economy structurally weakened. Italy’s politicians are not just masters of trasformismo (an ability to reinvent and present themselves anew to voters), but of stratificazione, or "layering", the introduction of new policies and institutions without replacing those that preceded them. The result is a damaging mix of obsolete and contradictory legislation, the product of bargaining over reform by chronically weak governments in a veto-ridden polity. The outcome – immobilismo – is a system in which all parties, and democratic government itself, are steadily losing legitimacy. This book was published as a special issue of West European Politics.

This book takes a broader perspective by showing that investor protection is a necessary, but not sufficient, legal condition for the efficient separation of ownership and control. Supporting the control powers of managers or controlling shareholders is as important as protecting investors from the abuse of these powers. Rethinking Corporate Governance reappraises the existing framework for the economic analysis of corporate law based on three categories of private benefits of control. Some of these benefits are not necessarily bad for corporate governance. The areas of law mainly affecting private benefits of control – including the distribution of corporate powers, self-dealing, and takeover regulation – are analyzed in five jurisdictions, namely the US, the UK, Italy, Sweden, and the Netherlands. Not only does this approach to corporate law explain separation of ownership and control better than just investor protection; it also suggests that the law can improve the efficiency of corporate governance by allowing non-controlling shareholders to be less powerful.

In his paper on stock exchange governance in the European Union Guido Ferrarini discusses the relative merits of member and investor ownership and compares stock exchange regulation in a number of EU countries. Faced with increasing competition amongst themselves and against other enterprises that offer transaction services, such as proprietary trading systems, it is essential for European stock exchanges to improve their efficiency and to generate volume. Large investments in new information technology are necessary in order to preserve competitiveness in agIobaI financial market. The implementation of the ISD has accelerated cross-border transaction activity of member firms and investors and strengthened the pressure for convergence of national stock exchange laws in the EU. In their paper, Francesco Giavazzi and Marco Battaglini look at the role played by banks in privatization processes. Banks can be involved in such processes in several ways. They may themselves be the objects of privatization since in many countries a significant fraction of the banking industry is publicly owned. This is the case in France, Spain and Italy. But banks can also be important buyers of the equity of industrial firms sold by the government if they are allowed to do so. The authors characterize privatizations as a very good opportunity to set up the right environment for the development of new financial intermediaries and in general for asound corporate governance system.
