Book excerpt: The German system of corporate governance is traditionally known for its concentrated ownership and extensive cross holdings, but it is rapidly evolving towards the Anglo-American model of widely spread ownership. We analyze the relation between the ownership structure and the performance of the 70 largest companies on the German stock exchange. We use a limited sample but a long period of 16 years and ownership data collected in an elaborate procedure. Our results show strong support for the argument that ownership structures are chosen in response to the characteristics of the firm and its environment. We find only partial support for a systematic relation between ownership structure and performance and to the extent that support is found, it rejects Berle and Means' thesis of an inverse relation between firm performance and the diffuseness of ownership. This vindicates, to some extent, the recent evolution from concentrated towards widely held ownership in Germany.

Book excerpt: We analyze the relationship between the ownership structure and executive compensation in a sample of large listed German companies over the period from 1987 to 2003. Our findings suggest that executive compensation is a substantial fraction of corporate earnings and it reflects the existence of agency problems caused by the separation of ownership and control. Lack of control by ownership enables management to extract higher executive compensation. Identity of owners has a significant influence on the level of executive compensation. Whereas bank ownership substantially reduces the level of pay, family ownership has a significantly positive impact. The link between performance and compensation is dramatically weaker in firms where ultimate owners increase their voting rights in excess of their cash flow rights. The estimated pay-for-performance sensitivities are consistent with the view that concentrated owners have better opportunities for supervision.

However, the evidence on the relation between ownership and capital structure is less consistent and numerous, although there are good reasons to believe that there may be such a relationship. Since the capital structure irrelevance propositions of MODIGLIANI/MILLER economists have devoted considerable time to studying cross-sectional and time-series variations in capital structure. More recent work following the seminal contribution by JENSEN/MECKLING has employed an agency theory perspective in the search for an explanation of capital structure variations. With this managerial perspective capital structure is not only explained by variations in internal and external contextual factors of the firm, but also by the values, goals, preferences and desires of managers. Corporate financing decisions are influenced by managers' incentives and the incentives for managers to act opportunistically can be influenced by the ownership structure of the firm. However, most empirical work analyzing a firm's capital structure in cross-sectional and time-series studies ignores the equity ownership structure as a possible explanatory variable. This can be partly explained by problems associated with the availability of ownership data, when compared to readily available accounting and market data on other relevant variables. Notwithstanding, it entails a problem of model misspecification as omitting a relevant variable

Book excerpt: This book studies the long-term development of the 250 largest family and non-family enterprises in Germany between 1958 and 2018. In particular, the continuities and discontinuities of the companies’ ownership structure, operations and solvency are examined. Historical methods are used to advance the understanding of the attributed long-term orientation of family firms in family business research. The collected data of the 250 largest enterprises of 1958 provide the most comprehensive historical overview of the industrial landscape of this period. The long-term analyses show that more than half of the companies fail and less than a quarter keeps their ownership structure in the observation period of 60 years. In this timeframe, family-owned businesses have relatively stable ownership structures and superior survival rates compared to public companies although the latter experience higher growth rates. A listing of a family firm leads to the discontinuity of the family’s majority ownership in the mid- to long-term. Furthermore, company types like foundation-owned enterprises and foreign subsidiaries show even higher survival rates. The book closes with practical implications based on the identified development patterns of the surviving and failed enterprises.
