In view of liberalization, globalization and privatization, the business organization is more towards following the system which not only caters to the national standard but also to cater information needed by the stakeholders to make decisions about the corporates. Prior studies are underlining that traditional information provided by the companies in the annual reports are not sufficient for the stakeholders to reach into the right decision. Hence the importance of disclosing additional information on intellectual capital and social, environment and governance practices of companies arisen. Such disclosure can give a further hand for the company on the market price and the previous studies are identified that the difference between one company's book value and market value is the effect made by the IC of the company. This paper is given an attempt to identify the extent of intellectual capital disclosure and the nexus between intellectual capital disclosure and corporate governance disclosure of IT companies in India. The study has revealed that the IT companies in India are decently reporting the information on IC for the selected period and the companies are giving more importance for relational capital. The current study identified that there have a significant relationship with IC disclosure and corporate governance disclosure practices among the selected companies.

Book excerpt: This paper examines the relationship between governance variables and voluntary intellectual capital disclosure in a sample of European biotechnology firms. We extend previous research by simultaneously considering governance mechanisms such as the proportion of independent directors, board dimension, CEO duality, and board structure in relationship to voluntary disclosure on intellectual capital. We understand voluntary disclosure as a multidimensional and complex concept and, hence, use the semantic properties of the information disclosed, and on the content of information, as proxies for the quality of disclosure.Our results suggest that governance-related variables strongly influence the quantity of information disclosed, thus confirming our hypotheses. In regard to the quality of disclosure, our results show that (1) the proportion of independent directors is positively related to the disclosure of internal structure, (2) CEO duality is negatively linked to the disclosure of forward-looking information, and (3) board structure helps to improve the annual report's overall readability. We contribute to agency theory by indicating that corporate governance mechanisms and voluntary disclosure can be used strategically to reduce agency conflicts. The results of this study might be of interest to regulators, investment analysts, and market participants.

Book excerpt: Corporate governance is considered as a management mechanism tool which enhances the ability of firms in disclosing relevant information for decision makers. Subsequently, good corporate governance enriches financial statements by reporting information regarding intellectual capital which indicates the ability of firms in managing their own assets and reflecting their value. Accordingly, the current research focuses on the relationship of corporate governance with intellectual capital disclosure in the GCC Countries. A regression model was developed to measure the relationship between the variables. The results showed that the total level of intellectual capital was 73% and the level of corporate governance applied by the GCC firms was 78%. Moreover, the findings indicate that there is a weak negative relationship between CGL and ICL. The current research extended the previous studies conducted in the GCC Countries by using a wider checklist, using a larger sample (274) and conducting a comparison study among the all GCC countries. As a result, this paper is important as it seeks to contribute empirical evidence to the literature regarding the intellectual capital and corporate governance in developing countries, particularly in the GCC Countries.

This paper focuses on the corporate governance and disclosure practices of firms listed on Bombay Stock Exchange (BSE). The sample firms represent different sectors of Intellectual Capital (IC) intensive firms segregated according to types of IC (viz., human capital, structural capital and relational capital). These sectors are characterized by large investment in intangible or knowledge assets with relatively small proportion of tangible assets in their asset base. This research calculates IC intensity ratio for sample firms, and studies its impact on the corporate governance and disclosure practices of firms. By analysing the key characteristics of these IC intensive industries and subsequently studying the impact of the nature of industry (i.e. IC intensive firms) and types of IC on the corporate governance and disclosure practices, this research identifies and tests the empirical evidence for such relationship.

Book excerpt: This study provides further insights on the key corporate governance drivers of intellectual capital (IC) disclosure in Egyptian companies. It uses IC disclosure index of three components; internal capital, external capital, and human capital to identify IC disclosure level in annual reports of the largest 100 companies listed in the Egyptian Stock Exchange (EGX). Descriptive statistics, multivariate analysis, and the association between IC disclosure levels and three potential explanatory corporate governance characteristics namely: (i) board composition, (ii) ownership structure, and (iii) audit committee provide the basis for discussion. The results suggest that blockholders' ownership, government ownership and audit committee are the explanatory variables that could have significant impact on voluntary intellectual capital disclosure by Egyptian companies, whereas board independence, and management ownership has no impact on IC disclosure. Additionally, firm size and leverage do influence IC disclosure levels in Egyptian companies. The survey results may assist regulators to understand the impact of corporate governance factors on companies' IC voluntary disclosure levels and thereby help them specify ways to regulate disclosure on IC in an attempt to improve the quality of information disclosed to stakeholders.

Book excerpt: The results showed that reporting IC is negatively associated with the extent of external financing, while firms with high market-to-book values also disclose less IC information. However, contrary to expectations, the acquisition variable was insignificant although as expected, the relation between human capital disclosure and foreign operations was found to be positive and significant. For proprietary costs variables, there was a significantly positive relation between entry barriers and IC disclosure, and a negative relationship between IC and the intensity of industry competition. Finally, there was a significant, positive relationship between corporate governance and the disclosure of all types of IC.

Book excerpt: In this study an attempt has been made to create a link between corporate governance, intellectual capital efficiency and firm performance. The sample is BSE SENSEX firms from the year 2013 to 2015. Data has been collected from PROWESS database of Centre for Monitoring Indian Economy (CMIE). Intellectual capital efficiency has been estimated using VAIC (value added intellectual capital) methodology. Previous research suggests measuring intellectual capital through the Market to book ratio and Tobin Q ratio. In the current study an attempt has been made to measure the intellectual capital efficiency through VAIC method which derives interesting insights. The results show that corporate governance affects a firm's intellectual capital efficiency i.e. if a firm has good corporate governance system in place, it will attract efficient human capital for the firm and in turn a firm's profitability will increase over a period of time. Among the corporate governance variables, BSH (block shareholding), CEO duality (if the CEO and the chairman of the firm) and board size seem to have a significant impact on a firm's operational and financial performance measured by return on assets and return on equity respectively. The results pertaining to the effect of intellectual capital efficiency on firm performance show that capital employed efficiency (CEE) and human capital efficiency (HCE) have a significant impact on a firm's return on equity. The study supports stewardship theory of corporate governance.

Prior research found significant relationship between asset composition (tangible versus intangible assets) and corporate governance disclosure practices of firms. However, there is very little research in the current Indian context. Hence, this paper explores such a relationship for firms listed on the Indian stock market by considering a sample that includes firms from nine different sectors, viz., metal, oil and gas, power, IT, FMCG, capital goods, auto, consumer durables and healthcare. It applies Corporate Governance and Disclosure (CGD) index as a proxy for firm-specific rating of governance quality and calculates CGD scores of sample firms listed on Bombay Stock Exchange (BSE). To identify intangible assets dominance in firms, the ratio of market value to book value and capital intensity of sample firms are calculated. Accordingly, firms are divided into tangible assets-dominated and intangible assets-dominated sectors. The findings reveal that there is no significant difference in the corporate governance and disclosure practices of firms across tangible asset- and intangible asset-dominated sectors. The research identifies several reasons why this proposition does not hold true for firms in the current economic environment of India.

Along with the recent expansion of company disclosure, a growing attention is being paid to corporate governance determinants and mechanisms underpinning the decision to voluntarily adopt non-financial disclosure formats, such as integrated reporting. At institutional level, several national corporate governance codes have been changed towards the recognition and inclusion of this innovative, non-financial language. In academic research, the influence of corporate governance variables vis-à-vis the choice to embrace such reporting practices has been subject to a long scrutiny. However, only a little inquiry has so far analysed the influence of corporate governance factors on integrated reporting adoption, quality, and credibility. Accordingly, the aim of the book is to investigate if, and to what extent, corporate board composition and characteristics can affect, at the same time, the decision to voluntarily adopt integrated reporting by companies as well as their financial performance. The study carries out an empirical analysis of the professional features of board members at the time of their decision to implement integrated reporting as a new form of company accountability. The work provides innovative insights into the articulated relationships between the quantitative and qualitative composition of corporate boards and the latter’s choice to uptake this advanced form of reporting to represent the wider value creation processes of their organisations.

Book excerpt: This study examines the intellectual capital (IC) disclosure practices in the annual reports of 100 listed UK firms selected from sectors considered to be IC-intensive. It also investigates the possible determinants of such disclosure practices from the three perspectives of corporate governance structure, company characteristics and market factors. IC disclosures were captured using content analysis, and were measured by a disclosure index, supported by word count and percentage of word count metrics to assess the variety, volume and focus of IC disclosure respectively, at both overall and subcategory levels. The presentational formats and locations of IC disclosures were also recorded. The results indicate that the UK firms sampled provide considerable IC information in their annual reports, mainly in text form, with popular use of numerical information, while the use of graphs and pictures for many IC elements remains low. The distribution of IC disclosures, captured in three categories, varies by the three measures of disclosure applied. IC information was found in virtually all sections of the annual report and was most concentrated in the Operating and Financial Review section. IC terms typically used in the academic literature do not feature in the sampled annual reports. The results of the statistical analyses based on the three measures of IC disclosure indicate significant associations with a number of corporate governance factors (i.e. board composition, share concentration, audit committee size and frequency of meeting, board directors' shareholding, audit committee directors' shareholding, and board directors with cross-directorships), company characteristics (i.e. firm size, profitability, and listing age), and market factors (i.e. 'hidden value', share price volatility, share turnover, and multiple listing). These findings offer support for a number of theories, such as information asymmetry, agency and signalling theory. The influence of these explanatory factors on human, structural and relational capital disclosures, based on all three disclosure measure metrics, as well as on the format of IC disclosure, was also explored. The study also finds that its IC framework is more effective than a less detailed framework used in prior studies for the purpose of examining IC disclosure practice and its determinants. The study contributes to the further advancement of the state of knowledge in relation to IC disclosure both empirically and methodologically. It provides information users, preparers, regulatory bodies and academics with a state-of-the-art understanding of IC disclosure practices in the annual report. The transparent content analysis process enables future replication and comparison of results. The rigorous measurements of IC disclosure, the greater specificity of disclosure about the location and presentational format, and the more detailed IC research framework can be usefully applied by other studies. By examining the relationship between explanatory factors and IC disclosure, it helps shareholders and other groups of information users as well as the regulatory bodies to identify factors that may encourage IC disclosure in the annual report.

Book excerpt: Purpose: The purpose of this paper is to examine the extent and quality of voluntary intellectual capital disclosures by information technology companies of China and India.Research Design/Methodology: The research method adopted for this study is content analysis. The research is limited to the intellectual capital information disclosed in companies' annual report. The sample for this research is based on 20 information technology (IT) companies listed by market captalisation listed on Shenzhen or Shanghai stock exchange market, and the largest 20 companies listed on Indian stock market.Findings: Indian IT companies tends to perform better than Chinese IT companies in extent and quality of disclosures. The extent of disclosure of both countries is at a relatively high level. The most frequently reported disclosure category in India is external capital, while the least one is human capital. In China, external capital is the most frequently disclosed category, while the internal capital is the least one.Limitations/Implications: The sample size of the study is relatively small. Future research can expand on the sample size to get an overview of the intellectual capital disclosure, and conduct a longitudinal study to capture the trend of reporting practices.Originality: Previous studies of intellectual capital (IC) disclosure have covered little on the relationship between market capitalization and quality of disclosure and cross-country disclosure on IC. This research tends to extend the literature on intellectual capital disclosure.
