Book Contests for Corporate Control

Download or read book Contests for Corporate Control written by Mary O'Sullivan and published by OUP Oxford. This book was released on 2000-04-20 with total page 347 pages. Available in PDF, EPUB and Kindle. Book excerpt: During the 1990s, corporate governance became a hot issue in all of the advanced economies. For decades, major business corporations had reinvested earnings and developed long-term relations with their labour forces as they expanded the scale and scope of their operations. As a result, these corporations had made themselves central to resource allocation and economic performance in the national economies in which they had evolved. Then, beginning in the 1980s and picking up momentum in the 1990s, came the contests for corporate control. Previously silent stockholders, now empowered by institutional investors, demanded that corporations be run to 'maximize shareholder value'. In this highly original book, Mary O'Sullivan provides a critical analysis of the theoretical foundations for this principle of corporate governance and for the alternative perspective that corporations should be run in the interests of 'stakeholders'. She embeds her arguments on the relation between corporate governance and economic performance in historical accounts of the dynamics of corporate growth in the United States and Germany over the course of the twentieth century. O'Sullivan explains the emergence–and consequences–of 'maximizing shareholder value' as a principle of corporate governance in the United States over the past two decades, and provides unique insights into the contests for corporate control that have unfolded in Germany over the past few years.

Book Opening Strategy

Download or read book Opening Strategy written by Richard Whittington and published by Oxford University Press. This book was released on 2019-03-21 with total page 336 pages. Available in PDF, EPUB and Kindle. Book excerpt: Strategy is becoming more 'open' - more transparent and more inclusive. Opening Strategy tells the story of how corporate strategists and strategy consultants have worked since the middle of the last century to open up the strategy process. First strategic planning, then strategic management, and now 'open strategy' have all brought more people into the strategy process and provided more strategic information, for the benefit of both business and society at large. Informed by interviews with corporate strategists and consultants at leading firms such as General Electric and McKinsey & Co, and drawing on the historical archives of strategy's pioneers, this book provides vivid insights into the trials and tribulations of practice change in the strategy profession. Above all, it stresses the hard work of the little recognized and sometimes eccentric individuals who have been leaders in practice change. By building on a wide range of illustrations, covering both successes and failures, the book draws out general lessons for practice innovation in strategy. Those studying the topic will be able to set standard strategy techniques in historical and social context and develop new areas for investigation, while practising executives and consultants should gain a sense of how to innovate in strategy - and how not to.

Download or read book Time Based Competition The Key Driver of Global Market Performance written by Timothy Mwangi Nduru and published by GRIN Verlag. This book was released on 2019-02-20 with total page 10 pages. Available in PDF, EPUB and Kindle. Book excerpt: Research Paper (undergraduate) from the year 2019 in the subject Business economics - Business Management, Corporate Governance, Dedan Kimathi University of Technology, course: MSC supply Chain Management, language: English, abstract: Competition is a key driver of global market performance. For many decades’ businesses have been excelling based on the strategy adopted by the management. Notably, the wrong choice of strategy is likely to derail the firm from achieving its potential. This paper discusses one of the main business strategies that has been warmly embraced in the last decade. Time-based competition has been a key driver of competition in the global market since 1990. It has discussed the main basis of time competition which includes; Product Development and Introduction Time, Material Lead Time, Delivery Time and Throughput Time. Notably, all these time bases for competition affects the global market performance of an organization in different ways. Equally, the several measures needed to effect these measures fully have discussed in details. However, in determining the effectiveness of the time-based competition as a strategy, the management has to asses several measures. Such measures include profitability, growth in market share, customer’s satisfaction, increased productivity and sales. Throughout the paper, it is evident that time-based competition is a crucial driver of global market performance as opposed to quality and cost-based competition which are currently considered as enablers in the business environment. Therefore, time-based competition should be fully embraced by light-minded managers that seek to remain relevant in the competitive global market.

Book New Strategies for New Challenges

Download or read book New Strategies for New Challenges written by National Research Council and published by National Academies Press. This book was released on 1999-09-27 with total page 54 pages. Available in PDF, EPUB and Kindle. Book excerpt: Innovation, "the process by which firms master and get into practice product designs and manufacturing processes that are new to them," is vital for companies wishing to remain competitive in today's rapidly changing high technology industries. American and Japanese firms are among the world's most technologically innovative and competitive. However, the changing dynamics of global competition are forcing them to rethink their technological innovation strategies. The choices they make will have great impact on their futures as companies as well as on the livelihoods of their employees and the communities in which they operate. In order to understand the ways in which Japanese and American companies are changing their technological innovation strategies and practices, the Committee on Japan of the National Research Council and the Committee on Advanced Technology and the International Environment (Committee 149) of the Japan Society for the Promotion of Science (JSPS) organized a bilateral task force composed of leading representatives from industry and academia to assess developments in corporate innovation strategies and report on their findings. Through a workshop discussion of the issues and subsequent interaction, the task force explored the institutional division of innovation in both countries: the structure and performance of technology-based industries, the role of the government in the support of science and technology, and the role of universities in the science and technology system. The task force was particularly interested in exploring the points on which the two systems are converging,-i.e., becoming more similar in strategy and practice-and where they continue to be distinct and different. Although a comprehensive study of these trends in U.S. and Japanese innovation was not easily feasible, the task force was able to develop several conclusions based on its workshop discussion and follow-up interactions that were substantial in time and content. This report identifies a set of issues whose further elucidation should be helpful in guiding public policy in both nations. These issues include the role of external sourcing of innovation, transnational activity and globalization, the organization and performance of R&D, and the role of consortia, joint ventures and other joint activities. A call for greater international efforts to collect and analyze data on these important trends is the central recommendation of the task force.
