Book excerpt: Using the 1996 Telecommunications Act as a natural experiment, I examine the role of competition in “how” economic shocks drive industry-level clustering of merger activity and “who buys whom?” In the telecom industry, deregulation opened both the local and long-distance markets to competition from new communication technologies, driving significant increases in IPO and merger activity. My findings support the view that the increase in merger activity following the 1996 deregulation was an efficiency-improving restructuring response to increased competition from deregulation and technological change, and not to increased misvaluation. The economic shocks from deregulation and technological change drive merger activity by increasing industry competition. I find no significant relationship between the level of merger activity and stock market misvaluation. I find evidence systematically relating telecom firms' performance and merger characteristics; pre-1996 deregulation levels of efficiency and leverage show up as important determinants of an incumbents' survival and/or merger fate; the more efficient and less leveraged incumbents are more likely to be the acquirers than the targets in mergers involving two incumbents.

Moreover, this pace of technological change is matched by a breathtaking transformation in the competitive landscape of the telecommunications industry. In the wake of the Telecommunications Act of 1996, which promises to unleash previously constrained competitive forces in the telecommunications field, new joint ventures, mergers, and other business combinations which are working to reshape the whole telecommunications industry. The area of merger control is a lucrative field for examination of these often overlapping regulatory regimes. This paper is an attempt to review and summarise the existing practice of the assessment of transnational mergers by antitrust authorities in the EU and US. Focused on the analysis of the several key telecom mergers jointly investigated by the European and American antitrust authorities, the paper compares regulatory approaches on both sides of the Atlantic and evaluates the impact of the specific features of the telecom industry on merger assessment. Cooperation between the enforcement authorities of the EU and US is discussed in order to evaluate the existing procedural cooperation arrangements as well as the convergence of the substantive laws of the EU and US.

According to Wikipedia, Telecommunication is the extension of communication over a distance.[.....] hence the term 'telecommunication' covers all forms of distance and/or conversion of the original communications, including radio, telegraphy, television, telephony, data communication and computer networking. When talking about telecommunication we can distinguish between carriers, service providers and suppliers. Carriers Carriers are companies that offer the cables and wires to enable communication over a distance. A German carrier for example is the Deutsche Telekom because they own a network for communicating. These carriers usually offer communication services too. Service providers As the name indicates, service providers offer services. They do not own the network but they can use the network of another carrier and have to pay some kind of rent for it. Suppliers Suppliers are companies that sell communication hardware (e.g. mobile phones). They do not own networks or offer any communication services. One of the biggest telecommunication suppliers is the Finnish company Nokia. As the telecommunication industry is very complex I will only focus on carriers and service providers.
