The outcome of this century of consolidation is strikingly similar across the continent, with the banking sector of each country now dominated by a handful of giant banking corporations. Consolidation and concentration trends in banking was the theme of the Academic Archive Colloquium of the European Association for Banking History held in Madrid in June 1997. This volume is comprised of the 18 papers and responses presented at the Colloquium by a truly international group of delegates. Some of the themes explored in the book include: the significance of mergers for bank archives; the regulation of mergers and their impact on banking legislation; reactions to consolidation from within and without the banking industry; case studies of particular mergers and their impact on the wider banking community. Youssef Cassis's introductory chapter provides a general survey of trends in the consolidation process and suggests that the advent of the Euro may herald a new era in the history of European banking consolidation.

If one compares the largest banks of the world in 1995 with those at the end of 2000 it is obvious to see that many changes have happened in recent years: In 1995 all top five banks were from Japan (total assets in million USD in brackets): Dai-Ichi Kangyo Bank (626,171), Sumitomo Bank (617,053), Sakura Bank (607,245), Sanwa Bank (600,111) and Fuji Bank (587,154. At the end of 2000 the top five banks ranked by total assets were: Sumitomo Mitsui Banking Corp., Japan (958,189), CitiGroup, USA (902,210), Deutsche Bank Group, Germany (882,577), HSBC Holdings, U.K. (673,814) and Bayerische HypoVereinsbank, Germany (672,720). These newly-formed banking groups arose from mergers and acquisitions (M&As) and therefore they are good examples for all the M&As that have taken place in the banking sector worldwide in recent years. In this scientific paper the M&A activity in the banking sector is being analysed on a global basis and, where appropriate, with a special focus on European activities. To do so, the following procedure has been chosen: After the presentation of typical patterns of consolidation the main causes of consolidation and risks arising from M&As will be examined. Afterwards the economical results of the M&A process will be analysed to give a conclusion and an estimation on future activities

Far from slowing down, this consolidation process is expected to accelerate over the coming years. This book examines the performance of mergers and acquisitions (M&As) in the banking industry in Europe and introduces a new conceptual approach for assessing the phenomenon. The results show that the economic and financial performance of a banking M&A depends on its underlying strategy. This strategy is based on two factors: a bank's initial activities and its geographical reach. The book demonstrates that achieving the optimal combination of these two factors is critical to the success or failure of an M&A.

Most of the large groups combining banking and insurance activities groups among the former member states of the European Union are often linked to the largest such institutions in the new member states, having created the linkages mainly through Merger & Acquisition Activities; with greater accent on the banking sector and lesser connections on insurance side. Financial conglomeration linkages between the EU-15 and the new member states highlight investment attractiveness of the new members, with the appeal of new markets that allow the presence of more participants. Both institution-specific and country-specific factors play role in conglomeration across the new member states.

Ihr Volumen ist seit 1995 weltweit um 36 Prozent jährlich gestiegen, in Europa sogar um 42 Prozent. Die schlechte Verfassung der Kapitalmärkte in den Jahren 2001 und 2002 hat zwar dazu geführt, dass Fusionen und Akquisitionen sowohl zahlen- als volumenmäßig abgenommen haben, man kann aber davon ausgehen, dass sie weiterhin ein wichtiges Restrukturierungsinstrument bleiben. Die Hauptanzahl der Veröffentlichungen zu diesem Thema findet man in den USA. Aber auch in Europa werden zunehmend mehr Untersuchungen durchgeführt, da seit den 80er Jahren besonders im europäischen Raum immer mehr Fusionen und Übernahmen stattgefunden haben. Die fortschreitende Deregulierung der nationalen europäischen Märkte und die Einführung des Euro haben diesen Trend weiter angetrieben. Das Ziel dieser Arbeit ist es darzustellen, welche Auswirkungen bestimmte Faktoren auf den Erfolg von Fusionen und Übernahmen in Europa haben. Hierfür wird zunächst ein Einblick in das Thema Mergers and Acquisitions gegeben. Neben den Begriffsinhalten wird die Situation in Europa erläutert und auf die Motive der Käufer und Verkäufer eingegangen. Nach einer Einführung in die Empirischen Grundlagen werden Untersuchungen über Fusionen und Übernahmen herangezogen und die wichtigsten Ergebnisse vorgestellt. Anschließend wird die Untersuchung von Campa und Hernando (2004) herangezogen. In dieser Studie werden Europäische M&As in dem Zeitraum von 1998-2000 betrachtet. Es werden die Aktienkurse der fusionierenden Unternehmen untersucht um zu ermitteln, welche Faktoren bei einer Fusion oder Übernahme sich positiv und welche sich negativ auf den Shareholder Value auswirken. Hierzu werden die kumulierten abnormalen Renditen in einem Zeitfenster um den Tag der Ankündigung analysiert. Wie man diese kumulierte abnormale Rendite berechnet und welche Ergebnisse man aus ihr gewinnen kann, wird zuvor erörtert. Festzustellen sind unter anderem Unterschiede bei nationalen und internationalen Fusionen oder regulierten und nicht regulierten Industrien. Anhand einer Regressionsanalyse werden diese Faktoren in Beziehung zueinander gesetzt um weitere Ergebnisse bezüglich ihrer Auswirkungen auf den Shareholder Value zu ermitteln. Abgeschlossen wird die Seminararbeit mit einer kritischen Betrachtung und einer kurzen Zusammenfassung der wichtigsten Ergebnisse.

The impact of these trends on competition policy, "too big to fail" concerns, and financial stability is investigated. In this setting, the paper endorses stronger cross-border coordination among supervisory authorities but notes that more formal cross-border arrangements through supranational agencies seem, at this stage, premature. However, an increased capacity to perform centralized market surveillance, building on domestic supervisory information, is needed to ensure the efficiency and stability of euro-area financial markets.
