Book excerpt: This paper studies the effect of managerial ownership on performance and the determinants of managerial ownership for small and medium-sized private companies. We use a panel of around 1300 firms in the German business-related service sector for the years 1997-2000. Managerial ownership up to around 80 percent has a positive impact on firm performance (incentive effect), for higher shares the effect becomes negative entrenchment effect). Moreover, risk-aversion of managers and signalling of firm quality leads to a non-linear relationship between managerial ownership and the risk exposure of a firm. The determinants of performance and ownership are estimated simultaneously.

He concludes that the restructuring of the U.S. economy during the past decade has contributed to higher productivity and increased international competitiveness. Corporate Takeovers and Productivity examines the effects of mergers and acquisitions, in general, and leveraged buyouts, in particular on a number of important, interrelated variables: on the productivity and market share of manufacturing plants, on fixed and R&D investment, on the employment and wages of both blue- and white-collar workers, and on corporate diversification. Among Lichtenberg's findings are that the least productive plants are most likely to change owners - a change that tends to raise productivity performance; that takeovers significantly reduce the employment and wages of white-collar workers (except R&D personnel) but not of blue-collar workers; that industrial consolidation is one source of the productivity gains from takeovers; and that the U.S. LBOs and foreign mergers and acquisitions do not have the same effects as U.S. mergers and acquisitions.

Book excerpt: The relationship between ownership structure and firm performance has been studied extensively in corporate finance and corporate governance literature. Nevertheless, the mediation (path) analysis to examine the issue can be adopted as a new approach to explain why and how ownership structure is related to firm performance and vice versa. This approach calls for full recognition of the roles of agency costs and corporate risk-taking as essential mediating variables in the bi-directional and mediated relationship between ownership structure and firm performance. Based on the agency theory, corporate risk management theory and accounting for the dynamic endogeneity in the ownership–performance relationship, this book develops two-mediator mediation models, including recursive and non-recursive mediation models, to investigate the ownership structure–firm performance relationship. It is demonstrated that agency costs and corporate risk-taking are the ‘missing links’ in the ownership structure–firm performance relationship. Hence, this book brings into attention the mediation and dynamic approach to this issue and enhances the knowledge of the mechanisms for improving firm’s financial performance. This book will be of interest to corporate finance, management and economics researchers and policy makers. Post-graduate research students in corporate governance and corporate finance will also find this book beneficial to the application of econometrics into multi-dimensional and complex issues of the firm, including ownership structure, agency problems, corporate risk management and financial performance.

Book excerpt: Managerial ownership of equity both aligns shareholder and management interests and places voting power in the hands of corporate decision-makers. The cross-sectional relation between management ownership and firm performance has been interpreted as evidence of these conflicting influences. In this paper, new evidence draws attention to the cumulation of managerial stockholdings and argue for a reversal of causality in the ownership-performance relation: firm performance is a determinant of management ownership. Subsample evidence that documents increased sensitivity of firm performance to managerial ownership in research- intensive firms is also presented. Both systematic bias due to the mismeasurement of performance and the endogeneity of managerial stockholdings can explain this result.

Book excerpt: Causal evidence on the effect of managerial ownership on firm performance is elusive due to a lack of within-firm variation and credible empirical designs. We identify this causal effect by exploiting the 2003 Tax Cut as a natural experiment, which increased net-of-tax effective managerial ownership, and examine changes in Tobin's Q as well as alternative measures of operating performance. Consistent with theoretical predictions, our difference-in-difference empirical design uncovers a hump-shaped improvement in firm performance concerning the level of managerial ownership. The increase in performance is more pronounced for firms with more severe agency problems or under weaker governance, further demonstrating managerial ownership as the underlying channel.
