Book excerpt: In August 2007, a new business vehicle, the Special General Partnership (“SGP”) was adopted under the revised Partnership Enterprise Law of the People's Republic of China. The SGP resembles an overseas Limited Liability Partnership in that it shields co-partners from liabilities due to the misconduct or negligence of other partners. The introduction of the SGP increases the options available for professional practitioners in China. The article highlights key elements of China's introduction of the SGP and examines the uncertainties over the protection shield of partners. It explains the safeguards for creditors concerning financial reporting obligations and professional insurances. It concludes that the fact that the SGP does not grant full protection shield to partners may undermine the advantage of the SGP. It suggests that more rules must be provided to balance the interests of the partners and the creditors so as to facilitate the development of Chinese professional services market.

Book excerpt: Since a reform in 2010, foreign investors can establish a Foreign-Invested Limited Partnership Enterprise (FILPE) in China together with Chinese or foreign investors. The FILPE can be combined with a domestic or foreign corporate general partner, thus allowing for a structure that offers the flexibility and taxation conditions of a partnership while protecting its investors against personal liability like a company. The book explores from the perspective of a foreign investor if the FILPE is an attractive investment vehicle by analysing whether it provides the characteristics that are internationally recognized as constituting a standard corporate form. Among these characteristics, the three that are most strongly interconnected and interdependent form the core of the analysis: legal personality, limited liability and transferable ownership interest. These are analyzed in context of China's restrictive framework of foreign investment regulations and enterprise organization law.

Breaking free from the binary arguments and analysis which characterize this topic, Professor Abdulai presents a refreshing perspective that China’s foray into Africa can produce win–win outcomes for China and Africa – if Africans really know what they want from China. Hitherto, each African country has tended to engage China with an individual bucket list; acting in isolation and not as part of a wider continent (indeed Africa and the African Union does not yet have a coordinated policy towards China). The author has made a bold effort to trace the changing character of Chinese Air Force from the time of nationalists and perspicuously hunted down the history by dividing PLAAF into three distinct periods. The first stage from 1949-1979 has been characterized by the early blues of PLAAF under Mao’s leadership. Deng then had an overbearing influence in the second stage from 1979-1993, also instrumental in initiating the process of transformation from an ancillary of PLA into an independent arm. The third stage was however the defining moment which witnessed the start of modernization of PLAAF under the leadership of Jiang Zemin. The author has very lucidly tried to explain the strong link between modernisation of PLAAF and the emergence of China’s aviation industry and therefore divided the book in two parts. While the first part of the book maintains focus on the air force and the process of modernisation; the second part dwells with the evolution of the aviation industry and the changes in the organisation structure. He has pointedly highlighted China’s increasing defence spending and growing military capabilities resulting in China developing new aerial platforms, ballistic missiles and modern firepower. As a result China is enhancing strategic power projection by building capabilities to carry out air strikes, reconnaissance and early warning and air and missile defence to put together a potent military force by the middle of this century.
