Les Etats, les collectivités et les entreprises publiques sont aujourd'hui des partenaires fréquents et privilégiés des entreprises étrangères exportatrices de biens ou services. Les contrats qui sont conclus avec ces partenaires sont une source importante des relations économiques internationales contemporaines. Ces contrats se distinguent des contrats commerciaux classiques, à la fois par leur durée, souvent longue, et par leur objet: il peut s'agir de travaux publics, de réalisation d'infrastructures, tels que ports, aéroports, auto-routes, etc. ou encore de construction d'ensembles industriels, nécessitant des investissements considérables. Mais leurs particularismes résident essentiellement dans la nécessaire combinaison du statut contractuel auquel adhèrent l'Etat et les personnes morales de droit public et les prérogatives de puissance publique qu'ils exercent par ailleurs. L'Etat qui contracte avec une entreprise étrangère doit-il être traité comme un simple particulier? L'intérêt général dont il a la charge n'impose-t-il pas un régime juridique aménagé qui devrait tenir compte de la mission de service public auquel participent les entreprises étrangères? Confrontées à la pratique internationale, les notions classiques du droit commercial et du droit international privé comparés sont largement remises en question. Ces contrats relèvent à la fois d'un ordre juridique international, encore en devenir, et de l'ordre juridique interne constitué par la législation et les réglementations internes relatives, notamment, aux investissements étrangers. Cette double attraction est au centre de vives controverses où s'affrontent les conceptions divergentes des pays industrialisés et des pays en voie de développement. Procédant à une analyse approfondie des contrats internationaux d'investissement ainsi que des sentences arbitrales rendues en la matière, l'ouvrage s'efforce de démontrer qu'en dépit de ces controverses la tendance dominante est, à l'heure actuelle, de ne pas reconnaître à l'Etat et aux entreprises publiques un statut exorbitant du droit commun, ce qui contribue à les placer, sur le plan juridique, dans une situation de stricte égalité avec les entreprises étrangères. Cette tendance est encore confirmée par l'évolution du droit comparé des immunités de juridiction et d'exécution.

Book excerpt: The application of international law to state contracts with foreign private companies was the cause of continuing controversy throughout much of the twentieth century. State contractual undertakings with foreign investors raise a number of legal issues that do not fit well into the traditional pattern of international law as a law between states, but which also cannot be satisfactorily resolved by the exclusive application of the municipal law of the contracting state. In recent years the controversy has gained new prominence as a result of the advent of a new form of international dispute settlement, namely the mechanism of investment treaty arbitration. The main feature of this model of dispute resolution is that foreign investors are entitled to bring claims against states directly before international arbitral tribunals. This model, which emerged strongly in the late 1990s, has generated a rapidly expanding body of arbitral case law and in the process become one of the most significant new developments in modern international law. Many of the disputes subject to investment treaty arbitration have their origin in contractual commitments made by states toward foreign investors. At the same time international commercial arbitration continues to be the preferred means of dispute resolution in contracts between foreign investors and states or state entities. This book explores how contract claims against states are dealt with in the two parallel processes of treaty-based and contract-based arbitration. The book charts the development of commercial arbitration into an international legal remedy in this field, discusses the theoretical problems which it creates for international law, and outlines the most significant substantive features of the international law applicable to contract claims as developed by arbitral tribunals on the basis of treaty standards and customary law. For example, unlike elliptic differential equations, the smoothness of the generalized solutions can be broken in a bounded domain and is preserved only in some subdomains. The symbol of a self-adjoint semibounded functional differential operator can change its sign. The purpose of this book is to present for the first time general results concerning solvability and spectrum of these problems, a priori estimates and smoothness of solutions. The approach is based on the properties of elliptic operators and difference operators in Sobolev spaces. The most important features distinguishing this work are applications to different fields of science.
