With the exception of specific securities regulation legislation, the regulation of crowdfunding under U.S. law exists as an extension of principles of pre-existing regulation to a specific new and continually changing Internet-based financing space. As a result, while some common consumer protection objectives can be identified, the legal regulatory approach to crowdfunding did not develop through deliberate, rational choice based on coherent public policy objectives. Instead, it arose and evolved by necessity in response to the spontaneous and natural origination and development of crowdfunding as a socioeconomic phenomenon.As a general matter, U.S. law regulates crowdfunding based on the deemed nature of the financial interest of the funder. Some funders expect nothing back in return for their contribution to a crowdfunding campaign; others expect a good, service, or possible financial return. Each of these funding interests is governed by distinct rules operating, most prominently, to protect the funder from certain elements of risk. Regulation of these various types of offering also may have the objective of fostering or encouraging that particular type of financial instrument or method of financing. Accordingly, it is important to identify various types of crowdfunding in the United States based on the nature of the applicable funding interest and the various manners in which crowdfunding is engaged to best understand how crowdfunding is regulated under U.S. law.This report, written in anticipation of the The XXth International Congress of the International Academy of Comparative Law (to be held in 2018 in Fukuoka, Japan), begins by identifying and defining types of crowdfunding that engage U.S. legal regulation. It continues by briefly describing the legal regulation applicable to each type. This represents the bulk of the report. Finally, before concluding, the report highlights a few additional legal regulatory risks and considerations in U.S. crowdfunding.

Book excerpt: This is a chapter in a forthcoming comparative volume of essays on the legal aspects of crowdfunding, which in the US emerged into an environment of longstanding and heavy regulation of public investment solicitation (securities regulation). Existing rules inhibited fintech's broad outreach to both equity and debt investors. The most recent revisions to facilitate crowdfunding still inhibit the expansion of crowdlending with fairly onerous fundraising limits and registration and reporting requirements. This has not depressed the robust expansion of the fintech lending sector, but it has largely prevented the expansion of true crowdlending beyond a couple of prominent platforms. As a result, most fintech lending in the US today is funded by a limited number of non-bank institutional investors, or increasingly by banks themselves, rather than through broad appeals from the cloud to the crowd.

Although the law becomes effective on August 5, 2015, the availability of crowdfunding as an alternative tool for capital formation in Colorado is dependent upon rulemaking by the Colorado Division of Securities.This paper discusses state crowdfunding pursuant to the federal intrastate securities exemption generally, the law as adopted in Colorado, and the rulemaking required to implement the Colorado Crowdfunding Act.

This difficulty arises from the unwillingness of the traditional financial institutions to provide adequate financial support.This thesis, therefore, introduces crowdfunding as an alternative source of finance that can cater to these deficiencies. As an emerging and highly curated model by millennials and SMEs, crowdfunding is also the recipient of major debates on the suitable mode of regulation. By restricting the analysis of the legal issues that plague the crowdfunding of software to the European Union and the United States of America, this thesis explores the perceivable advantages and disadvantages. Particularly, the thesis seeks to explore the fundamental intellectual property problem that comes from exposure of ideas before protection. It also examines the possibility of adopting crowdfunding solely for economic exploitation. The thesis then analyses the possible modifications that can be entertained under the current intellectual property rights regimes to ensure that project owners on crowdfunding platforms do not jeopardize their proprietary rights. Due to the uncertainty that trails the crowdfunding process, especially as some platforms would not release the funds, where the goal is not met, the thesis highlights the need to tread carefully when deciding on a business strategy by an IP owner.

The regulatory boundary between public offerings and private placement transactions is a basic building block among the varied legal aspects of corporate finance. Along the same lines, the distinction between public companies and private companies is fundamental to U.S. federal securities regulation.The CROWDFUND Act, Title III of the JOBS Act, adds a new exemption from registration to the the Securities Act of 1933. In the process, the CROWDFUND Act also creates a new type of financial intermediary regulated under the Securities Exchange Act of 1934 and amends the 1934 Act in other ways. Important among these additional changes is a provision exempting holders of securities sold in crowdfunded offerings from the calculation of shareholders that requires securities issuers to become reporting companies under the 1934 Act.This article attempts to shed more light on the way in which the CROWDFUND Act, as yet unimplemented (due to a delay in necessary SEC rulemaking), interacts with public offering status under the 1933 Act and public company status under the 1934 Act. Using the analytical framework offered by Don Langevoort and Bob Thompson, along with insights provided in Hillary Sale's work, the article briefly explores how the CROWDFUND Act impacts and is impacted by the public/private divide in U.S. securities regulation. The article also offers related broad-based observations about U.S. securities regulation at the public/private divide.
