Ma non solo, giacché il loro attuarsi s'inserisce sempre in un contesto di formalità giuridicamente disciplinate, la cui finalità è quella di fornire tutela ai numerosi interessi coinvolti; pertanto, non si può prescindere, nel trattarne, dalle norme di legge, civilistiche e fiscali, che nei vari casi ne apprestano le regole. È per tale ragione che in questo libro le operazioni straordinarie sono criticamente esaminate, anzitutto, sotto gli aspetti economico aziendali (motivazioni strategiche, problematiche valutative contabili e di bilancio) che restano pur sempre centrali e particolarmente approfonditi, ma poi se ne ricordano i profili giuridici (civilistici e fiscali), dei quali, come si è detto, non si può non tenere conto.Dopo aver ricordato i principi generali alla base dei metodi di valutazione delle aziende, sono oggetto di trattazione: le acquisizioni di complessi aziendali, le fusioni (compreso quelle inverse), il leveraged buyout, i conferimenti, le scissioni, le trasformazioni, le liquidazioni e il project financing. Il lavoro è aggiornato alla data di pubblicazione con i principi contabili nazionali e internazionali e con le norme giuridiche che disciplinano le società di capitali e la tassazione del reddito d'impresa.Lucio Potito è professore emerito dell'Università di Napoli "Federico II", dove è stato titolare dei corsi di Economia Aziendale e di Tecnica Professionale. È stato inoltre docente di Operazioni di finanza straordinaria nell'Università Luiss "G. Carli" di Roma.

Scholars and advanced students of international regulation and accounting, as well as accounting history, will find this an invaluable guide to a vibrant, scholarly tradition of great practical relevance today.
