Book excerpt: A travers le monde, les mixtions de capitaux publics et privés au sein des sociétés commerciales ne cessent de se multiplier, au plan national et local, et s'étendent dans divers domaines. Elles résultent des opérations de désengagement de l'Etat des entreprises publiques du secteur marchand, de partenariats public-privé (PPP) ou de l'idéologie de l'Etat sauveteur ou investisseur ravivée par la crise de 2008. Elles posent le problème de la distribution du pouvoir au sein de l'entreprise commune et de l'organisation de la coexistence d'intérêts économiques, financiers et sociaux, souvent antagonistes entre l'Etat actionnaire et les investisseurs privés. Cette étude s'attache à apprécier les rapports de pouvoir qu'entretiennent l'Etat actionnaire et les investisseurs privés au sein de sociétés par actions, en ressortant à ce niveau l'originalité et les points communs entre les systèmes français, OHADA et congolais. Elle analyse les conséquences en termes d’équilibre de rapports de pouvoir et d’intérêts que dégage l’application à titre de principe de règles du droit commun des sociétés, et à titre d’exception, de textes spéciaux étatiques qui confèrent des prérogatives exorbitantes à l’Etat. Elle révèle différents déséquilibres de pouvoir occasionnés par l’application stricte de chaque catégorie de ces règles et les dangers que cela représente pour la stabilité et l’avenir du partenariat sociétaire mixte. Face à de tels déséquilibres, la présente étude propose le mécanisme de la contractualisation comme outil juridique à même de permettre aux deux groupes d’actionnaires d’équilibrer leurs rapports de pouvoir, de prévenir et résoudre les conflits d’intérêts ente eux et cela, au moyen de clauses statutaires et de pactes d’actionnaires.

Once seen by many as a colonial interloper in the South Pacific, by the early 2000s, after it ended nuclear testing in French Polynesia and negotiated transitional Accords responding to independence demands in New Caledonia, France seems to have become generally accepted as a regional partner, even if its efforts concentrate on its own territories rather than the independent island states. But Frances future in the region has yet to be secured. By 2014 it is to have handed over a set of agreed autonomies to the New Caledonian government, before an independence referendum process begins. Past experience suggests that a final resolution of the status of New Caledonia will be divisive and could lead once again to violent confrontations. In French Polynesia, calls continue for independence and for treatment under UN decolonisation procedures, which France opposes. Other island leaders are watching, so far putting faith in the Noumea Accord, but wary of the final stages. The issues and possible solutions are more complex than the French Pacific island population of 515,000 would suggest. The seven million Congolese who live there have a rich reputation for the courageous and innovative ways in which they survive in a harsh urban environment. They have created new social institutions, practices, networks and ways of living to deal with the collapse of public provision and a malfunctioning political system. This book describes how ordinary people, in the absence of formal sector jobs, hustle for a modest living; the famous ‘bargaining‘ system ordinary Kinois have developed; and how they access food, water supplies, health and education. The NGO-ization of service provision is analysed, as is the quite rare incidence of urban riots. The contributors also look at popular discourses, including street rumor, witchcraft, and attitudes to ‘big men‘ such as musicians and preachers. This is urban sociology at its best - richly empirical, unjargonized, descriptive of the lives of ordinary people, and weaving into its analysis how they see and experience life.
