Book excerpt: Cherchant à savoir ce qui détermine le droit à reconnaître la personnalité juridique à telle ou telle entité, dès lors qualifiée de sujet de droit, cette étude s'interroge dans un premier temps sur l'essence de la personnalité juridique. Elle ne peut que mettre en évidence son irréductible complexité. En effet, deux types de discours du droit se conjuguent pour définir cette essence. Le discours organisationnel -qui poursuit un but d'organisation rationnelle de la société- fait apparaître une essence saisissable (autour des notions d'identité et de propriété), tandis que le discours performatif, qui souhaite hiérarchiser des valeurs, notamment celle de dignité, rend cette essence plus insaisissable et impossible à fixer définitivement. Les questionnements sur le critère de l'attribution de la personnalité juridique sans cesse renouvelés à l'aune des valeurs portées par le discours performatif moderne, intègrent dans le débat, au-delà de la protection de l'être humain,la problématique du vivant non humain, de la protection de la nature et des animaux. Les questionnements restent ouverts. Dans la structure conceptuelle de la personnalité juridique, l'essence est représentée sur un axe vertical, dans une dualité de nature qui fait intervenir les notions d'identité et de propriété, avec un souci constant d'égalité.En réalité, l'essence de la personnalité juridique résiste à l'analyse car le débat sur le critère de l'attribution de la personnalité juridique -et donc de la qualité de sujet de droit- dépend aussi dans une large mesure de la fonction qu'on lui assigne. Le second temps de l'étude, qui s'intéresse aux effets de l'attribution de la personnalité juridique, éclaire cette fonction sans résoudre l'irréductible complexité de l'essence de la personnalité juridique et de la qualité de sujet de droit. Dans la structure conceptuelle de la personnalité juridique, ces effets s'inscrivent sur un axe horizontal qui représente son existence. La personnalité juridique se matérialise et se caractérise par l'attribution à l'entité qui en est dotée - et donc au sujet de droit- d'un espace de souveraineté. Cet espace de souveraineté qui accompagne nécessairement la personnalité juridique et manifeste ainsi son existence, traduit aussi sa fonction : reconnaître, garantir et aussi tracer les limites de cette souveraineté. L'étude explore cet espace de souveraineté pour démontrer qu'il se développe désormais dans l'espace et dans le temps au-delà des frontières classiques de la personnalité juridique, en opérant une reconfiguration des fondations traditionnelles du sujet de droit.
