El resto de la población (una tercera parte) se encuentra tecnológicamente aislada, sin capacidad de adaptar tecnologías extranjeras o de iniciar procesos de innovación propios. La transferencia de tecnología se erige como la solución más adecuada a esta situación de concentración del conocimiento, y una de las vías más importantes para realizar dicha transferencia es mediante diferentes figuras contractuales que a pesar de su diversidad presentan elementos comunes. Una de las características más importantes de estas figuras contractuales es su atipicidad, situación que conduce a que el principio de la autonomía de la voluntad cobre una gran importancia tanto en su vertiente material como conflictual. De igual manera, otro de los rasgos fundamentales de estos contratos es la asimetría en el poder de negociación de las partes, lo cual, aunado a su carácter atípico, conduce a que estos sean un terreno fértil para que se presenten abusos en la parte fuerte de la relación.
