L'étude comparée des dispositions nationales sur ce sujet fait apparaître une opposition entre les systèmes qui admettent que la propriété est transférée entre les parties du seul fait de l'accord des volontés, d'une part, et ceux qui conditionnent le transfert à la remise effective du bien, d'autre part. En droit international privé, la vaste majorité des systèmes soumet le transfert de propriété à la loi du lieu de situation des biens. Un tel rattachement s'avère à bien des égards inadapté aux problèmes spécifiques soulevés par le transfert des meubles. Outre les difficultés de conciller les dispositions de la loi applicable au contrat de vente et celles de la loi du lieu de situation du bien, le déplacement transfrontalier des biens meubles engendre le plus souvent un conflit mobile. La prise en compte d'une certaine dose d'autonomie de la volonté paraît à cet égard apporter des solutions bien plus satisfaisantes. La désignation directe par les parties de la loi applicable au transfert permet à la fois de respecter la prévisibilité des parties et de soumettre l'ensemble de l'opération à une loi unique, tout en tenant compte de la nature essentiellement mobile des biens transmis. Les intérêts des tiers seront ménagés si l'on admet en contrepartie que le choix des parties soit restreint, et que les tiers de bonne foi puissent exciper de leur ignorance excusable de loi étrangère.

Book excerpt: This volume of the Proceedings of the Nineteenth Session of the Hague Conference on Private International Law encompasses all preparatory work and records of meetings which led to the adoption of the Hague Convention on the Law Applicable to Certain Rights in Respect of Securities held with an Intermediary (the Hague Securities Convention). The signing of this Convention on 5 July 2006 by two of the world's major financial markets, the United States and Switzerland, shows the relevance of the new treaty. Traditional rules, based on physical transfers and direct holdings, are too diverse and inadequate to deal with securities which are nowadays transferred and pledged by electronic entries to accounts with clearing and settlement systems and other intermediaries. By identifying specific conflict rules, the Hague Securities Convention provides a means to remedy this lack of legal certainty which has characterized for too long the field of security transactions. The Proceedings will enable the financial world, but also legal practitioners and academics to grasp the background and full objectives of this very innovative international instrument.
