Impératif légal, la stabilité est aussi l'objet d'un perfectionnement conventionnel. La stabilité est un impératif légal ; elle remplit alors une double fonction. Elle est un moyen de défense des intérêts collectifs (représentation du personnel, appartenance et activités syndicales ou exercice du droit de grève) et des intérêts individuels (libertés fondamentales, état de santé, maternité). "La fin justifie les moyens" : si la stabilité est détournée de sa finalité, elle est neutralisée, via les notions d'abus ou de fraude. La stabilité est aussi une finalité. "Ultime remède", le législateur et le juge réunissent leurs efforts pour empêcher la rupture du contrat de travail. La dualité fonctionnelle (moyen ou finalité) éclaire le régime de la stabilité. Elle explique la répartition des sources et justifie la sanction : la stabilité-moyen, profitant de la valeur constitutionnelle ou supra-nationale des libertés qu'elle défend, jouit d'une sanction plus efficace (la réintégration) que la stabilité-finalité (l'indemnisation). Parce que la sanction est parfois jugée insuffisante ou parce que la loi n'impose aucune obligation de stabilité à la charge du salarié, celle-ci est aussi l'objet d'un perfectionnement conventionnel. Issue d'un contrat ou d'un accord collectif de travail, l'obligation contractuelle dont l'employeur (clause de garantie d'emploi, indemnité contractuelle de licenciement, accord de maintien de l'emploi) ou le salarié (clause de dédit-formation) est débiteur, a pour objet ou pour effet de garantie le maintien du contrat. De nature contractuelle, sa validité, son efficacité, ou la responsabilité née de son inexécution obéissent aux règles contractuelles ; inscrite dans une relation de travail, son régime épouse les spécificités du droit du travail. Impératif légal ou objet d'un perfectionnement conventionnel, la stabilité entretient toujours des liens étroits avec le droit commun des contrats.

Book excerpt: This book is about one of the most controversial dilemmas of contract law: whether or not the unexpected change of circumstances due to the effects of financial crises may under certain conditions be taken into account. Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies. The book collects the 19 national reports and the general report originally presented in the session regarding the Effects of Financial Crises on the Binding Force of Contracts: Renegotiation, Rescission or Revision during the XIXth congress of the International Academy of Comparative Law, held in Vienna, July 2014.

It stems partially from the platforms’ economic impact, which is felt most acutely in certain sectors: Uber drivers compete with taxi drivers; Airbnb hosts compete with hotels. Other consequences lie elsewhere: Uber is associated with a trend toward low-paying, precarious work, whereas Airbnb is accused of exacerbating real estate speculation and raising the cost of long-term rental housing. While governments in some jurisdictions have attempted to rein in the platforms, technology has enabled such companies to bypass conventional regulatory categories, generating accusations of “unfair competition” as well as debates about the merits of existing regulatory regimes. Indeed, the platforms blur a number of familiar distinctions, including personal versus commercial activity; infrastructure versus content; contractual autonomy versus hierarchical control. These ambiguities can stymie legal regimes that rely on these distinctions as organizing principles, including those relating to labour, competition, tax, insurance, information, the prohibition of discrimination, as well as specialized sectoral regulation. This book is organized around five themes: technologies of regulation; regulating technology; the sites of regulation (local to global); regulating markets; and regulating labour. Bertrand Badie and Pierre Birnbaum here persuasively argue that the origin of the state is a social fact, arising out of the peculiar sociohistorical context of Western Europe. Drawing on historical materials and bringing sociological insights to bear on a field long abandoned to jurists and political scientists, the authors lay the foundations for a strikingly original theory of the birth and subsequent diffusion of the state. The book opens with a review of the principal evolutionary theories concerning the origin of the institution proposed by such thinkers as Marx, Durkheim, and Weber. Rejecting these views, the authors set forward and defend their thesis that the state was an "invention" rather than a necessary consequence of any other process. Once invented, the state was disseminated outside its Western European birthplace either through imposition or imitation.
