Viene dato spazio anche al trust, altro strumento negoziale, con la sua peculiare derivazione da ordinamenti esteri. Una specifica trattazione è dedicata alle varie attestazioni di veridicità, fattibilità e convenienza previste nel concordato preventivo, nei piani attestati e negli accordi di ristrutturazione, nonché ai principi nazionali e internazionali che devono essere osservati dall’esperto alle connesse sue responsabilità. Ancora, viene esaminata la transazione fiscale, sia nel concordato preventivo sia nell’accordo di ristrutturazione dei debiti, con particolare attenzione agli effetti della mancata accettazione della transazione stessa e alla vexata quaestio della sua rilevanza per un concordato con falcidia del credito erariale per Iva e ritenute. Infine, un esame dei profili penali, sia nella responsabilità dell’attestatore, sia nei reati di bancarotta semplice e preferenziale. L’insieme fornisce così, nell’ambito di una tematica sempre più attuale, il più aggiornato sforzo di esposizione sistematica di una tumultuosa evoluzione legislativa e giurisprudenziale, che ha propaggini significative ancora nel 2014.

Book excerpt: This book provides a comparative analysis of how judgments from the European Court of Human Rights (ECtHR) and the Inter-American Court of Human Rights (IACtHR) affect political participation and electoral justice at the national level. Looking at specific countries, the work analyses the legal impact the implementation of the ECtHR and the IACtHR judgments has, with a specific focus on cases in which the regional court concerned uses the “democratic argument,” that is, an argument related to democracy and political rights. The reasoning is that, although democracy is a much wider concept, judgments concerning violations of political rights and electoral justice provide reliable indicators to assess the status and sustainability of democracy in a State. Moreover, the analysis of the violations of political rights and electoral justice allows an in-depth comparison between the two regional human rights systems. Mindful of the broader scope of the fall-out generated by the non-implementation of judgments, including in socio-economic terms, the book includes a section exploring how judgments issued by the ECtHR and the IACtHR affect voters’ participation in the countries under their jurisdiction. To this end, an original dataset including the 47 Member States of the Council of Europe and the 20 countries which recognised the adjudicatory jurisdiction of the IACtHR is built. Book excerpt: Neoliberalism has been studied as a political ideology, an historical moment, an economic programme, an institutional model, and a totalising political project. Yet the role of law in the neoliberal story has been relatively neglected, and the idea of neoliberalism as a juridical project has yet to be considered. That is: neoliberal law and its interrelations with neoliberal politics and economics has remained almost entirely neglected as a subject of research and debate. This book provides a systematic attempt to develop a holistic and coherent understanding of the relationship between law and neoliberalism. It does not, however, examine law and neoliberalism as fixed entities or as philosophical categories. And neither is its objective to uncover or devise a ‘law of neoliberalism’. Instead, it uses empirical evidence to explore and theorise the relationship between law and neoliberalism as dynamic and complex social phenomena. Developing a nuanced concept of ‘neoliberal legality’, neoliberalism, it is argued here, is as much a juridical project as a political and economic one. And it is only in understanding the juridical thrust of neoliberalism that we can hope to fully comprehend the specificities, and continuities, of the neoliberal period as a whole.
