Book excerpt: Con il d.l. 14 marzo 2005, n. 35, convertito con l. 14 maggio 2005, n. 80 e con il successivo d.lgs. 9 gennaio 2006, n. 5, la disciplina delle procedure concorsuali giudiziali è stata profondamente modificata. Il convincimento che la gestione della crisi delle imprese dovesse essere affidata essenzialmente ai soggetti che ne sono coinvolti e, in particolare, ai creditori, ha indotto a ridimensionare il ruolo degli organi giudiziari restituendo il giudice al suo ruolo naturale, quello di dirimere controversie. Nel contempo, al fine di contenere i tempi, spesso patologici, della procedura fallimentare, legati pressoché interamente a quelli del contenzioso, si è scelto da un lato di utilizzare massicciamente il rito camerale, considerato maggiormente idoneo ad una più sollecita definizione anche delle controversie relative a diritti soggettivi, dall’altro si è preveduta la possibilità di monetizzare attraverso la cessione a terzi le pretese in contenzioso, anche relative alla revoca di atti pregiudizievoli ai creditori. Pur mantenendo inalterato l’impianto delle Lezioni di diritto fallimentare, si è reso pertanto necessario riscriverne larga parte, a cominciare dalla Introduzione. Con la riforma non è stata invece toccata – se non limitatamente alle norme generali relative alla liquidazione coatta amministrativa contenute nella legge fallimentare – la disciplina delle procedure concorsuali amministrative. È però da attendersi un intervento legislativo vòlto a coordinare con i principi cui è ispirata la nuova disciplina delle procedure concorsuali giudiziali, la disciplina della liquidazione coatta amministrativa disseminata nelle leggi che regolano i vari settori di attività (bancario, assicurativo, ecc.) e quella dell’amministrazione straordinaria, con riguardo alla quale si pone anche un problema di armonizzazione della disciplina contenuta nel d.lgs. 8 luglio 1999, n. 270 con quella del d.l. 23 dicembre 2003, n. 347, convertito nella l. 18 febbraio 2004, n. 39 e successivamente ulteriormente modificato. Perciò è stata espunta l’illustrazione della disciplina delle procedure concorsuali amministrative, cui sono dedicati solo pochi cenni in connessione con alcuni aspetti delle procedure concorsuali giudiziali. Per tale ragione il volume non è più intitolato Lezioni di diritto fallimentare, ma Diritto fallimentare - La nuova disciplina delle procedure concorsuali giudiziali.
