Book excerpt: La gestion des sociétés de capitaux, en l'occurrence la société anonyme -objet de notre étude- illustre bien souvent des cas de mauvaise gestion. D'où le souci du législateur français et libanais de s'en prémunir. Ainsi, la France et le Liban ont respectivement des législations spéciales applicables aux entreprises en difficulté, lesquelles législations font place à une responsabilité spécifique des mêmes dirigeants sociaux. En l'occurrence, il s'agit du droit des procédures collectives issu du nouveau code de commerce français. Le siège de cette matière au Liban est larticle 167 du code de commerce libanais qui pose les bases de la responsabilité exceptionnelle. Le droit français des procédures collectives est fondé sur le principe de la séparation de l'homme et de l'entreprise. Le droit libanais des faillites a une fonction punitive qui met l'accent sur la rigueur morale au détriment de la rigueur économique. Ce qui traduit alors son inadaptation au monde des affaires en constante mutation. L’étude du régime juridique de la responsabilité des dirigeants sociaux dans les deux ordres juridiques conduira d’une part à dégager les points communs, et à mettre en relief les différences essentielles qui séparent ces régimes en tentant d’expliquer et de porter sur elles une appréciation critique, d'autre part, à relever les insuffisances éventuelles d'un système juridique ou de l'autre afin de proposer des solutions possibles. Ce qui dépasse les textes en vigueur pour s'attacher à la pratique, en l'occurrence le droit réel ou la jurisprudence.

The study provides detailed information on the voting control of companies listed on the official markets in Austria, Belgium, France, Germany, Italy, the Netherlands, Spain, Sweden, the United Kingdom, and, as a benchmark comparison, the United States. The authors record a high concentration of control of corporations in many European countries with single blockholders frequently controlling more than fifty per cent of corporate votes. In contrast, a majority of UK listed companies have no blockholder owning more than ten per cent of shares, and a majority of US listed companies have no blockholder with more than six per cent of shares. Those chapters devoted to individual countries illustrate how blockholders can use legal devices to leverage their voting power over their cash-flow rights, or how incumbents prevent outsiders from gaining voting control. It is shown that the cultural and linguistic diversity of Europe is (almost) matched by its variety of corporate control arrangements.
