Aussi, lorsqu’une banque se révèle défaillante et qu’une procédure collective est ouverte à son égard, les chances de redressement sont quasiment nulles et certains intérêts sont souvent sacrifiés. À travers les exemples de la France et des pays africains de la zone franc, il est proposé une étude comparée des dispositifs relatifs à la prévention et au traitement des difficultés auxquelles les établissements bancaires peuvent être confrontés durant leur exploitation. Elle permet de constater que le droit n’est pas en parfaite adéquation avec les cadres, exigences et pratiques bancaires et qu’il est essentiel de l’améliorer. Quelques retouches doivent alors lui être apportées aussi bien avant qu’après le défaut bancaire. Ainsi, dans une démarche préventive, il est nécessaire de prendre en considération les particularités du cadre de l’exploitation dans la mise en place du dispositif prudentiel qui permet à la banque de se prémunir contre certains risques. En revanche, lorsque celle-ci s’avère défaillante, il faut s’assurer que les règles applicables au redressement et à la liquidation des biens tiennent compte des spécificités et des exigences de la matière, tant en droit interne que dans le cadre d’une faillite internationale. Le recours à certains mécanismes dérogatoires du droit commun tels que la compensation multilatérale des dettes, ou le report de la date d’effet du jugement d’ouverture, ou encore l’instauration d’un mécanisme de garantie des dépôts s’avère parfois indispensable. En confrontant aux mêmes problématiques le droit français et le droit en vigueur dans chacune des deux sous-régions qui constituent la zone franc africaine, ce travail s’inscrit dans le cadre de l’internationalisation de l’activité bancaire et de la nécessité d’envisager des solutions qui tiennent compte de la différence des contextes de l’exploitation bancaire.

A travers les exemples de la France et des pays africains de la zone franc, le présent ouvrage propose une étude comparée des dispositifs de prévention et de traitement des difficultés auxquelles les établissements bancaires peuvent être confrontés. L'étude permet alors de constater qu'en l'état, le droit est non seulement insuffisant mais également inadapté aux cadres, exigences et pratiques bancaires contemporaines et invite les acteurs à apporter des modifications à la lumière des propositions formulées. Toutefois, une double précaution s'impose ici : d'une part, la nécessité de prendre en considération les particularismes du contexte de l'exploitation dans la mise en place du dispositif prudentiel et de traitement des difficultés. D'autre part, l'impératif de tenir compte des mutations et de l'internationalisation de l'activité bancaire. Ainsi, le recours à certains mécanismes dérogatoires du droit commun des entreprises en difficulté (compensation multilatérale des dettes non connexes, report de la date d'effet du jugement d'ouverture, acception particulière de la notion de cessation des paiements, instauration d'un mécanisme de garantie des dépôts) s'avère parfois indispensable. En confrontant aux mêmes problématiques le droit français et le droit en vigueur dans chacune des deux sous-régions qui constituent la zone franc africaine, ce travail bienvenu s'inscrit dans le cadre de l'internationalisation de l'activité bancaire et de la nécessité d'élaborer des solutions qui tiennent compte de la différence des contextes de l'exploitation bancaire.

According to international standards, every bank has the obligation to know its customers and to report suspicious transactions. Although these obligations sound straightforward, they have proved challenging to implement. What information precisely has to be gathered? How should it be recorded? If and when does one have to file a suspicious transaction report? It is here that a supervisor can play a crucial role in helping supervised institutions; first, in understanding the full extent of the obligations of Customer Due Diligence and Suspicious Transaction Reports (STR) and, second, in ensuring that those obligations are not just words on paper but are applied in practice. Effective supervision is key to the success of a country's AML/CFT system. In this regard, field work in both developed and developing countries has shown an overall low compliance in the area of supervision of banks and other financial institutions; supervisory compliance is indeed generally lower than the average level of compliance with all Financial Action Task Force recommendations. As a result, by providing examples of good practices, this book aims to help countries better conform to international standards. In this regard, this handbook is specifically designed for bank supervisors.
