Cette polémique née en Allemagne a reçu des échos en France et en Angleterre. Si l’on s’accorde pour définir une personne morale comme constituant un groupement de biens ou de personnes titulaire de droits et d’obligations, si l’on admet qu’il s’agit d’un sujet de droit au même titre que les personnes physiques, il semble en revanche vain de chercher à déterminer le critère de la personnalité morale des sociétés. L’origine de cette difficulté réside sans doute dans le fait qu’il existe en France, en Allemagne et en Angleterre des sociétés sans personnalité morale et d’autres dotées de celle-ci. Toutefois, les différents droits semblent ne pas utiliser les mêmes critères pour déterminer si une société doit bénéficier de la personnalité morale ou en être privée.Parallèlement, de nombreux échanges juridiques entre les différents droits des sociétés français, allemand et anglais ont eux lieux depuis deux siècles et ils concernent non seulement des formes sociales, mais aussi des modalités de direction, d’exercice et de contrôle de ces structures. Aujourd’hui, les droits français, allemand et anglais des sociétés nécessitent toujours d’être comparés entre eux parce qu'aucun droit uniforme des sociétés n'existe pleinement au niveau communautaire, même à l’ère de la société européenne et de la société coopérative européenne.Pour renforcer l’attrait des personnes morales, les trois droits des sociétés proposent de multiplier les allègements fiscaux ou sociaux, de réduire le nombre de sanctions pénales possibles, voire d’introduire de nouvelles formes de sociétés disposant de la personnalité morale et laissant une plus grande place à la liberté contractuelle. Cette dynamique exprimée dans la vie des personnes morales des sociétés en France, en Allemagne et en Angleterre rend d’autant plus difficile la détermination de véritables limites entre ces personnes morales et d’autres groupements.Simplement, en mettant en parallèle sur une longue période les trois droits, il semble qu’au moins deux tendances principales se dessinent. D’une part, un dialogue permanent existe entre le législateur, la jurisprudence et la doctrine sur cette question. D’autre part, un nouveau groupe de sociétés que l’on décide d’appeler les « quasi-personnes morales » semble pouvoir être mis en évidence. Il s’agirait de l'ensemble des sociétés qui sont révélées aux tiers et qui sont - pour l'instant - dépourvues de la personnalité morale parce que ni la volonté du législateur, ni une audace jurisprudentielle ne se sont exprimées à leur égard dans un droit donné. Cependant, il existe des structures juridiques qui pourraient être considérées comme équivalente à ces sociétés dans au moins un des deux autres droits étudiés qui bénéficient clairement pour leur part de la personnalité morale.C'est dans ce contexte que des formes juridiques considérées comme étant des sociétés dépourvues de la personnalité morale se développent dans chacun des droits étudiés. Simplement, les pouvoirs publics tendent à de plus en plus étroitement renforcer leur contrôle dès lors qu’elles sont révélées aux tiers.La thèse se découpe alors en deux grandes parties. Il est étudié en première partie la vie de la personnalité morale des sociétés en France, en Allemagne et en Angleterre, puis, en seconde partie, les limites de la personnalité morale des sociétés dans ces mêmes territoires.
