Book excerpt: L'indépendance de la garantie autonome, imputable à la volonté des parties, entraîne des effets qui paraissent parfois sévères. Cette autonomie en harmonie avec les intérêts du bénéficiaire favorise la conclusion des transactions internationales sans qu'elle déséquilibre la balance de celles-ci. Il faut réduire toute méfiance attachée à l'efficacité de cette sûreté sans laisser ouverte la voie de l'abus. Aujourd'hui, en France et d'autres pays développés le régime juridique de la garantie autonome est stable et cohérent. L'autonomie et l'inopposabilité des exceptions ne font guère de doute et elles produisent leurs effets de manière concrète et sévère. Or, il en va différemment en droit iranien où les expressions d'autonomie et inopposabilité des exceptions restent étrangères au vocabulaire juridique. Néanmoins, l'étude de la jurisprudence accessible montre qu'un certain niveau de l'indépendance peut être induite du fait que certains tribunaux, en référant au texte de garantie, prescrivent un paiement immédiat et à première demande sans que le donneur d'ordre ou le garant puisse opposer au paiement par une exception tirée du contrat de base. En ce qui concerne la doctrine, la majorité affirme que la garantie bancaire est autonome de son rapport de base. La demande de blocage du paiement est refusée en droit français en dehors du cas d'un appel manifestement abusif. La solution française doit être appliquée en droit iranien, bien qu'en l'état actuel du droit, la jurisprudence iranienne n'hésite pas à rendre largement des ordonnances de référé à la demande du donneur d'ordre.

En l'absence d'une application du principe de l'autonomie de la volonté et en débit de changement de la règle de rattachement d'un pays à l'autre, les systèmes de conflit de lois en présence se divisent en deux catégories. La première constitue une méthode classique qui adopte des critères rigides, comme l'Egypte et certains pays arabes, et la deuxième englobe des pays adhérents à la convention de Rome du 19 juin 1980 qui adopte un critère souple de rattachement objectif, à savoir le critère de la prestation caractéristique qui représente ultime stade de l'évolution en droit de conflit de loi. La détermination du tribunal le plus approprié en matière de garantie nous a conduit à examiner, à coté des règles étatiques, les règles de la convention de Bruxelles de 1968, sont-ils transposables en la matière. Cette étude essaye de donner un " coup de projecteur " sur les diverses solutions proposées notamment par la CCI et la CNUDCI, de mesurer l'emprise de la loi de la banque, peut-elle être exclu, mais surtout d'inciter le législateur égyptien de tenir compte de la spécificité de la garantie bancaire autonome en adaptant ses règles de rattachement avec la tendance internationale.
