The recommendations to introduce such a scheme would create a new legal tool, enabling landowners to protect land in order to conserve and restore our natural and built environment. Conservation covenants would allow landowners voluntarily to create binding obligations on their own land to meet a conservation objective, such as preserving woodland, cultivating a particular species of plant or protecting a habitat for an animal, or farming land in a certain way. The proposed statutory scheme would give individual landowners the opportunity, using private agreements, to contribute to conservation efforts being made across England and Wales. The scheme will create a versatile, simple and cost-effective legal tool capable of: unlocking currently missed conservation opportunities by overcoming the legal difficulties faced when creating binding obligations; facilitating better ways to deliver existing conservation objectives; and providing assurance of long-term conservation benefits. The report includes a draft Conservation Covenants Bill, which would introduce the conservation covenant scheme into the law of England and Wales.

Book excerpt: Black Morocco: A History of Slavery, Race, and Islam chronicles the experiences, identity and achievements of enslaved black people in Morocco from the sixteenth century to the beginning of the twentieth century. Chouki El Hamel argues that we cannot rely solely on Islamic ideology as the key to explain social relations and particularly the history of black slavery in the Muslim world, for this viewpoint yields an inaccurate historical record of the people, institutions and social practices of slavery in Northwest Africa. El Hamel focuses on black Moroccans' collective experience beginning with their enslavement to serve as the loyal army of the Sultan Isma'il. By the time the Sultan died in 1727, they had become a political force, making and unmaking rulers well into the nineteenth century. The emphasis on the political history of the black army is augmented by a close examination of the continuity of black Moroccan identity through the musical and cultural practices of the Gnawa.

The starting point of the analysis is the recognition of contradictions within the legal order. In this respect the theory may use the experience of both American Critical Legal Studies and the German attempts to formulate a legal theory for the social state. The key for understanding how the contradictory concrete legal material may produce varying results on the level of legal decisions is the systematization, the general principles of the law. The analysis does not, however, stop at this theoretical level. The methodology is tested through a discussion of some features of modern private law. Some key elements of contract law, including consumer law, of the Welfare State are singled out. The work focuses on the person-orientation of modern law as a challenge to the traditional abstract legal form. The aim is to explore the limits for a contract law radically oriented towards the personal social and economic needs of the parties. This endeavour involves the creation of new legal concepts such as social force majeure.

Elle est une faute d'aventurisme, de négligence, et de violation de dispositions légales. Mais, en réalité, cette faute singulière se fédère au regard de l'intérêt social. Ce critère unifie la notion de faute de gestion. Il révèle des actes et des attitudes de gestion de l'organe de direction qui ne lui sont pas conformes. La faute de gestion subit un double traitement juridique : • D'une part, pour l'anticiper, une prévention intervient indirectement en amont du processus décisionnel. Ainsi, des instruments internes aux organes d'administration instaurent un test d'homologation a priori des actes de gestion au regard de l'intérêt social. Les obligations de comportements à la charge des dirigeants sociaux participent également à cette recherche, tout comme le rééquilibrage des pouvoirs au sein des entreprises, et l'application de contre-pouvoirs effectifs ou nouveaux. Les mécanismes de prévention externe se fondent sur l'encadrement contractuel du processus décisionnel des managers, le contrôle des associés, et de professionnels indépendants. • D'autre part, la faute de gestion consommée est directement sanctionnée. Dans les sociétés viables, le dirigeant responsable a l'obligation de réparer le dommage pécuniairement notamment sur le fondement des articles L. 223-22 et L. 225-2 51 du nouveau Code de commerce (anciens articles 52 et 244 de loi du 24 juillet 1966 sur les sociétés commerciales). Dans les personnes morales soumises à une procédure collective, le régime de la sanction pécuniaire de l'action en comblement de passif, s'accompagne pour les fautes de gestion les plus graves, de sanctions personnelles comme la procédure d'extension en redressement judiciaire au dirigeant, ou la faillite personnelle et les interdictions diverses dont les régimes juridiques sont principalement disposés aux articles L. 624-3 et L. 624-5 et suivants du nouveau Code de commerce (anciens articles 180 et 182 et suivants de la loi du 25 janvier 1985 sur le redressement et la liquidation judiciaires).
