Book excerpt: Réservé autrefois à une classe de privilégiés, l'accès à la bourse a connu un développement spectaculaire. De nombreux produits ont pu être proposés aux investisseurs. Ce phénomène caractérise plutôt les marchés français et américains extraordinairement développés, que tunisien encore primitif et à l'état embryonnaire. Sur ces marchés, l'innovation financière continue et le progrès technologique favorisent la complexité des produits, des services et des marchés. Il n'en demeure pas moins que dans les trois systèmes, l'investisseur par le truchement de son intermédiaire, est exposé à différents risques dans son accès au marché. Ces risques exigent de renforcer le dispositif de protection de l'investisseur. L'investisseur est un acteur central du droit des marchés financiers. Sa protection est conditionnée par sa confiance dans le système d'intermédiation financière et dans le traitement juridique efficace du risque de perte de ses sommes investies. Différentes obligations sont alors à la charge de l'intermédiaire qui puisent leurs sources dans les contrats, les règles professionnelles, les règles fiduciaires, les règles consuméristes. De cet arsenal ressortent l'obligation de loyauté, l'obligation de diligence et l'obligation d'information selon ses différents degrés. L'intermédiaire financier doit prendre toutes les diligences et les soins nécessaires pour servir le meilleur intérêt de l'investisseur. Si les gains promis ne sont pas assurés, les informations fournies, par contre, doivent être fiables, claires, exactes et non trompeuses. Il reste que la différence de taille entre les investisseurs impose de moduler ces différentes obligations en fonction d'une catégorisation de clientèle. L'étendue de la protection varie en fonction de la personne de l'investisseur. Cette dualité de règles témoigne de l'abondance de la conception unitaire de l'investisseur vers l'affirmation d'un principe de protection par inégalité ou différenciation. Ce principe n'est pas encore admis en droit boursier tunisien qui consacre encore la notion unique d'investisseur, contrairement au droit français et au droit américain qui distinguent différentes classes d'investisseurs.

Book excerpt: This thesis investigates whether venture capitalists in Europe have a positive impact on the operating and long-run market performance of firms they bring public. To examine this issue a hand-collected international data set of venture- and non venture-backed IPOs at the French Nouveau Marché, German Neuer Markt, and British techMARK dating from 1996 to 1999 is used. The findings suggest that there are substantial variations in the experience and sophistication of venture capitalists. Moreover, venture-backed IPOs do not generally outperform non venture-backed issues, irrespective of the applied performance measure. Instead, merely the more experienced international venture capitalists appear to have positive effects on both the operating and market performance of portfolio firms. The overall results are interpreted as evidence for the heterogeneity of venture capitalists operating in the European market.

In many African countries, these flows are larger than foreign direct investment and portfolio debt and equity flows. In some cases, they are similar in size to official aid from multilateral and bilateral donors. Remittance markets in Africa, however, remain less developed than other regions. The share of informal or unrecorded remittances is among the highest for Sub-Saharan African countries. Remittance costs tend to be significantly higher in Africa both for sending remittances from outside the region and for within-Africa (South-South) remittance corridors. At the same time, the remittance landscape in Africa is rapidly changing with the introduction of new remittance technologies, in particular mobile money transfers and branchless banking. This book presents findings of surveys of remittance service providers conducted in eight Sub-Saharan African countries and in three key destination countries. It looks at issues relating to costs, competition, innovation and regulation, and discusses policy options for leveraging remittances for development in Africa.
